Article 1 rental items

Party A shall, according to Party B's request and Party B's own selection, rent to Party B for the purpose of financing Party B's purchase of the items recorded in Item (1) of the schedule (hereinafter referred to as the leased object) to Party B, and Party B shall lease and use it to Party A.

Second tenancy periods

During the tenancy period, as mentioned in Item (5) of the schedule, the date of signing the bill of lading provided by Party B as stipulated in the fifth clause and first paragraph of this contract is the date of the hire date or the date of delivery of the bill of lading issued by Party A stipulated in the fifth clause second of this contract is the date of the lease.

Third rents

1. Party A shall finance the purchase of leased objects for Party B, Party B shall pay the rent to the lessee, and the time, place, currency and number of the rent and the time, place, currency and number of the leases are stipulated in Item (9) of the schedule.

2. the rent in the preceding paragraph is calculated on the basis of the estimated cost (hereinafter referred to as the budgetary cost) as set forth in Item (7) of the schedule.

However, when the lease item is rented, when the actual cost and the estimated cost are in discrepancy, the actual cost will be the actual cost.

3. the actual cost in the preceding paragraph refers to the total amount of the total amount, expenses and interest paid by Party A for the purchase of leased items and the delivery of foreign currency and Renminbi separately to Party B (the interest shall be paid from Party A or the actual burden date to the leased date of the leased object, in foreign currency).

Annual interest rate and RMB% / year interest rate are calculated.

4. according to the second, third paragraph of this article, when there is discrepancy between the actual cost and the estimated cost, Party A shall provide Party B with the statement of actual cost of rental items and the actual rent table, notify Party B of the actual cost and the actual cost, and make adjustments to the adjustment of schedule (8), (9), (10), (11) and (12) of the schedule, Party B acknowledges the above adjustment.

The adjustment is not a modification or modification of the contract, and whether the lease item is used or not, Party B shall pay the rent to Party A in the date, amount and currency specified in the actual rent table.

5. the type of this contract rent shall be selected by Party B and shall not be changed during the performance of the contract.

If profits and losses caused to Party B due to exchange rate changes, Party B will benefit or bear.

Purchase of fourth rental items

1. according to their own needs, Party B independently chooses the leased object and the seller by investigating the seller's credit power.

Party B shall have all the right to decide on the name, specification, type, performance, quality, quantity, technical standard, service content, quality, technical guarantee, price terms and delivery time of the leased object, and directly agree with the seller. Party B shall be responsible for the decision and selection of its own.

Party A signs the purchase contract with the seller according to the selection and requirements of Party B.

Party B agrees and confirms all the terms and conditions of the purchase contract recorded in Item (1) of the schedule and signs it on the purchase contract.

2. Party B shall provide Party A with all kinds of approvals or licenses that Party A considers necessary.

3. Party A is responsible for raising the funds needed to purchase the leased items and handling the relevant import procedures according to the purchase contract.

4. the customs duties, VAT and new taxes and other taxes payable on the purchase of leased items, domestic freight and other domestic expenses that must be paid shall be borne by Party B and paid directly by Party B according to the requirements and requirements of the departments concerned.

Party A has no liability for this.

Delivery of fifth rental items

1. the place where the leased object is delivered at the place of delivery (3) of the schedule shall be delivered to Party B by the seller or Party A (including its agent).

After receipt of the bill of lading, Party A immediately notify Party B to collect the bill of lading with Party A's power of attorney, and Party B shall also issue a receipt for the lease item to Party A.

After signing the bill of lading, Party B shall consider Party A to deliver the leased items to Party B.

Party B signs the bill of lading on the date of the lease.

Party B receives the goods on the basis of the bill of lading at the place of delivery, and refuses to reject the goods for any reason.

In this case, Party A sends the date of the bill of lading as the date of the lease.

3. after the rental item arrives at the delivery place, Party A's pportation agent (Sinop) or Party B will handle the declaration and delivery procedures on its own.

Regardless of whether Party B receives the goods in time, Party B shall take responsibility for the leasehold items after the lease is delivered to the place of delivery.

4. Party B shall not be held responsible for delay in pportation, unloading or customs declaration due to force majeure or government decrees, which delays Party B's acceptance of rental items or causes Party B not to accept the leased items.

5. after receiving the goods at the place of delivery, Party B shall conduct commodity inspection in accordance with the relevant regulations of the state in the place and time specified in the purchase contract, and submit a copy of the commodity inspection report to Party A in a timely manner.

The treatment of sixth rental items defects

1. Party B is entitled to the rights stipulated in the fourth articles and first paragraphs of this contract. Therefore, if the seller delays the delivery of the leased object, or the contents of the lease items are not in conformity with the contents stipulated in the purchase contract, or during the installation, commissioning, operation and quality assurance period, the Seller shall be responsible for the purchase contract, and Party A shall not be liable for compensation. Party B shall not recourse to Party A.

2. the right of claim for delay in delivery and quality defects shall be owned by the lessor. The lessor may assign part or all of the claim right to the lessee, and the pfer of the claim right shall be specified in the purchase contract.

3. the cost and result of the claim are leased by the lessee.

The custody, use and cost of seventh rental items.

1. Party B can use the leased items completely during the lease term.

2. Party B shall not remove the lease item from the place set forth in Item (4) of the schedule, except for the written consent of Party A, and shall not assign it to the third party or allow others to use it.

3. Party B shall give good maintenance to the leased items, so that they can maintain normal conditions and perform normal functions.

The repair and maintenance of the leased items shall be handled by Party B and bear all its expenses.

If the parts are to be replaced, the parts supplied by the original manufacturer of the leased items shall be replaced without the written consent of Party A.

4. Party B shall be liable for compensation if the third party is damaged due to the lease item itself and its installation, storage and use.

5. Party B shall not bear all expenses and taxes (including taxes payable by all taxes newly imposed by the state) on the basis of the first paragraph of this article, and shall be borne by Party B (except for the income tax payable by Party A).

Loss and damage of eighth leased items

1. during the performance of the contract, the risk of loss and damage to the leased items shall be borne by Party B.

If the leased items are destroyed or damaged, Party B shall notify Party A immediately. Party A may choose one of the following ways, Party B shall be responsible for handling and paying all expenses:

(1) restore or repair the leased property to the state of full normal use.

(2) replace the same status and performance of the items with the leased items.

2. when the leased object is lost or damaged to the extent that it can not be repaired, Party B shall compensate Party A according to the amount of loss specified in the actual rent form.

3. in accordance with the preceding paragraph, when Party B delivers the amount of loss and any other payments payable to Party A, Party A will pfer the leased property (its current status) and the rights of the third party (if any) to Party B.

Ninth insurance

When the lease item arrives at the place specified in Item (4) of the schedule, Party B shall, in the name of Party A, insure the leased property and make it continue to be effective until the performance of the contract is completed, and the amount and currency of the insured amount and the amount of money lost according to the contract specified in this contract.

The cost of insurance shall be borne by Party B.

Party B shall notify Party A immediately after the occurrence of the insurance accident, and deliver all necessary documents to Party A.

(1) payment as required for the eighth first (1) or (2) items.

(2) as the eighth second paragraph and other Party B's payment to Party A.

Tenth leasing security

1. Party B shall deliver the security deposit in the account specified in Item (8) of the schedule as a guarantee for fulfilling the contract and deliver it to Party A at the same time.

2. the lease deposit in the preceding paragraph shall not be regarded as interest, and shall be deemed to be all or part of the rent according to the amount and date specified in the actual rent form.

3. if Party B violates any provision of this contract or when there are twelfth first to 5 paragraphs, Party A shall deduct the sum from Party A's payment to Party A from the lease deposit.
