In view of:

1. Through friendly negotiation, both parties have agreed to purchase the agreement and the goods under this agreement from Party B.

2. Party B entrusts Party A to import the above goods to Party C, but for some technical reasons, both parties A and B have signed the sales contract (hereinafter referred to as the "sales contract") instead of the agent's import contract on the date of the first month of the year.

3. Party B authorizes Party A to make the above goods in the name of Party A (not party b) and Party C in the year of the year.

4, the three parties of the Party A and B know and agree with the above situation and practice:

The three parties of the Party A and B have concluded this agreement through friendly consultation and reaching agreement on certain problems in the above-mentioned sales contracts and import contracts.

The three parties agree that:

1. If Party B fails to pay the full amount of the goods (delivered in batches or in installments) in accordance with the provisions of the sales contract, it shall be paid to Party A, and Party A shall not be obliged to import them.

2 Party A shall bear no liability for the quality of the goods concerned.

If Party B has any objection to the quality of the goods, it should negotiate with Party C on its own, and have no right to pursue any breach of contract responsibility to Party A in accordance with the sales contract. If the goods need to be returned, Party B may entrust Party A with the handling fee.

3. The party guarantees that the goods delivered to Party A are strictly consistent with the import contracts in terms of origin, quality and quantity. If there is any discrepancy, Party C shall bear all legal liabilities and compensate Party A for the customs sanction incurred accordingly.

4, if the provisions of the sales contract and import contract do not conform to this agreement, the provisions of this Agreement shall prevail.
