Shanghai Sanmao (600689) announced on the evening of February 17 that the company held the third interim meeting of the 10th board of directors in 2021 on November 10, 2021, and decided to terminate liquidation, cancel Shanghai Yindun Electronic Information Technology Co., Ltd. (hereinafter referred to as "Yindun company") and publicly transfer its 100% equity of the company through public listing. On January 17, 2022, the company received the confirmation letter of trading qualification from Chongqing United equity exchange, and two intended transferees were recruited for the 100% equity project of Yindun company. Through online bidding, Shanghai tongkai Lightning Protection Technology Co., Ltd. (hereinafter referred to as "tongkai company") was finally confirmed as the transferee of the project, and the final offer was RMB 700214768. After that, the company confirmed the trading results issued by Chongqing United Property Exchange, and signed the property right transaction contract with tongkai company on February 8, 2022.

As of the date of this announcement, the company has received the "property right transaction voucher" issued by Chongqing United Property Rights Exchange, and has received all the transaction price transferred, that is, RMB 700214768.

According to the "property right transaction contract" signed by both parties, the company will cooperate with tongkai company to complete the certificate change procedures of the transferred property rights within 10 working days after the completion of property right delivery. The company will timely fulfill the obligation of information disclosure according to the progress of the matter.
