A party B, in order to give full play to the advantages of both parties, has reached the following agreement on the basis of the principle of equality, voluntariness and equivalence in compensation according to the contract law of the People's Republic of China.

1. Entrusted matters

1, Party B accepts Party A's entrustment, and is responsible for directly negotiating the construction project of the * * * * * * project (hereinafter referred to as the project), introducing Party A and the project, providing Party A with important information about the project, and ultimately facilitated the professional contract construction contract signed by Party A and the construction unit.

2, "successful intermediation" means the completion of all the entrusted matters listed in this article. Party A has not signed a written construction contract with the construction unit. Party B only provides information for Party A, or provides services such as liaison, assistance and matching for Party A.

Two. Obligations of Party B

1, Party B must provide Party A with information about the project, including, but not limited to, the tender notice, contract conditions, the total value of the bill of quantities, the unit price of the quantum unit of the project, the variety and unit price of the supply material and the transportation distance of the slag. Party B has the obligation to assist Party A in conducting field visits to the project.

2. Party B's promise to provide Party A with the above information about the project is true and reliable. If the information provided by Party B is not true, Party B has no right to obtain the intermediary remuneration, and agrees to pay the party a penalty of $1 million.

3. B, the drawings, quantities list and the unit price of various materials provided by Party A to Party A must be a part of the construction contract signed by Party A and the construction unit. Otherwise, Party B shall not be entitled to obtain intermediary remuneration and compensation for losses suffered by Party A as Party B's failure to complete the entrusted matter.

4, Party B should ensure that the project is reliable, funds in place, all kinds of construction procedures are complete, and can be properly constructed. Otherwise, it shall be deemed that Party B provides information untrue and shall be executed according to the second clause of the second clause of this contract.

5, Party B should act as a prudent and honest person during the contract negotiation between Party A and the construction unit. If a construction contract can be reached, Party B still has the obligation to coordinate the relationship between Party A and the construction unit in the process of construction. 6. When Party B receives the remuneration for this contract, he must issue an effective tax invoice to Party A, and the relevant income tax shall be borne by Party B.

Three. Obligations of Party A

1, Party A is responsible for providing qualification certificates, business licenses and other related information; responsible for contract negotiations with construction units.

2, if the intermediary is successful, Party A will fully perform the professional construction contract signed by the construction unit. Party A's rights and obligations arising from the execution of the construction contract have nothing to do with Party B.

3, if intermediation is successful, Party A shall pay the intermediary remuneration to Party B in accordance with this contract. If the payment is not made in time, the party shall bear the penalty for breach of the contract on the basis of 1% of the amount that has not been paid in time.

Four. The calculation method, payment time and payment method of intermediary remuneration.

2, after successful intermediation, Party A shall pay Party B * * * within one month of the normal construction of Party A; within two months of normal construction, * * *; the amount of the remaining construction contract will start from the third months of normal construction, and pay according to the proportion of * * *% of the monthly inspection fee paid by Party A; after the completion of settlement, Party A will get all the works within five days after completion. 3, Party A can pay by transfer or cash.

Five, the intermediate cost of intermediary costs refers to the necessary cost of Party B's actual expenditures for the completion of entrusted matters. Party B agrees to undertake all the expenses of the intermediary activities (or Party A agrees to undertake * * * * * * * * * * * regardless of whether it has completed the entrusted matters contained in this contract.

Six. Confidentiality matters

1, both parties should fully protect the commercial secrets involved in this agreement.

2, Party B shall not make any party's actions harmful to Party A in the course of its intermediary business, otherwise Party A shall have the right to refuse to pay the intermediary remuneration of Party B.

3, if Party B violates the obligation of confidentiality, he shall pay liquidated damages to a branch. If the penalty is not sufficient to compensate for the loss suffered by Party A, Party B shall be responsible for compensation.

Seven. Termination of contract

1. If the contract is effective after the signing of this contract, the contract will automatically terminate if Party B has not completed the intermediary task until the date of the year.

2, if the intermediary is successful, the contract will be terminated after full performance.

3, this agreement is terminated when a contract is terminated by both parties.

Eight, the dispute settlement methods, such as the occurrence of contract disputes, the two sides negotiated and resolved; if the negotiation fails, the two sides agree to submit the Arbitration Commission to the Arbitration Commission where the contract is signed.

Nine, other matters

1 Party B shall not delegate the entrusted items of this contract.

2. This contract is made in duplicate. Each party holds one copy, and the two sides sign and seal it to become effective.
