What are the procedures and steps of foreign capital mergers and acquisitions?

According to the Interim Provisions on foreign investors' acquisition of domestic enterprises, foreign mergers and acquisitions are generally divided into the following steps:

　　一、盡職調查：在這個階段，律師主要代理境外投資者對境內企業(yè)的主體資格、債權債務關系、資產的合法性進行核查。

　　二、參與談判：由于境外投資者對中國的法律法規(guī)、市場狀況不熟悉，所以在價格策略上很難做到有的放矢、擊中對方弱點。律師參與談判可以為境外投資者爭取價格上的回旋余地。

　　三、并購協(xié)議設計：在大的框架通過談判敲定之后，要通過并購協(xié)議來落實一些細節(jié)問題，如股權轉讓如何實施，企業(yè)職工如何安置，報批職責分工及付款進度等。

　　四、合資合同及公司章程設計：一般外商投資服務中心會提供相應的范本，但合同和章程是今后合資企業(yè)運作的綱領，必須給予高度重視，要充分考慮各方股東的權利、利益和責任，以及公司管理的科學性、運作效率等多方面的因素。

Five. File preparation and approval

Despite the fact that our government has been streamlining its procedures, there are still more than ten documents to be prepared at present. However, the documents that need to be prepared will be prompted by general departments.

It is important to note that this process may require some preprocessing procedures, such as business scope adjustment, enterprise name change and so on.

Six. Registration of business tax changes

The registration of industrial and commercial alteration is relatively simple and can be handled according to procedures.

Tax change registration takes into consideration what preferential policies can be enjoyed after the merger.
