The New Technology Co., Ltd. (hereinafter referred to as New Technologies Inc) was held on September 20, 2010 at the 39 floor conference room of the first Shanghai center, No. 7, Liang Ma Qiao Road, Chaoyang District, Beijing, China.

Group Limited, Hongda Investment Co., Ltd., Foshan Huade Jinhui Investment Co., Ltd., Foshan Chan Hua De Investment Co., Ltd. and Heng Tian Real Estate Co., Ltd. (hereinafter referred to as Heng Tian real estate) signed the agreement on capital increase and equity pfer of Heng Tian Real Estate Co., Ltd., which is about 44.83% of the equity held by Beijing Bo Hong real estate development Co., Ltd. (hereinafter referred to as Bo Hong Company), together with 12 million 500 thousand yuan of cash to increase capital to Heng Tian real estate. At the same time, New Technologies Inc intends to pfer the remaining 20.17% of its shares to the property of Heng Tian real estate. This paction will have a positive impact on the current profits and losses of the company.
The paction constitutes a related paction, which is subject to the approval of the shareholders' meeting and the need for online voting. However, it does not constitute a major asset reorganization stipulated in the administrative measures for the major asset reorganization of listed companies.
