Technology Pfer Contract

The pferee unit:

Four, Party A's obligations

1. Party A shall deliver the technical data and equipment, accessories and other forms (available form) to the Party B before the date of two 0________.

Five, obligations of Party B

If the two parties agree that Party B shall pay a certain entry fee to Party A, the amount of the entry fee, the delivery time, etc. shall be stipulated in the neutral clause of the contract.

Seven, Party A's liability for breach of contract.

1. if Party A fails to deliver technical data, equipment and accessories to Party B in accordance with the quantity and quality stipulated in the contract, Party B shall pay the liquidated damages equivalent to the percentage of the pfer fee for the technology pfer to Party B. If Party A delays the delivery of the technical data, equipment and accessories, Party B can cancel the contract if Party A accepts the technology pferred by Party A.

2. if Party A fails to send technicians according to the time, quantity and specifications stipulated in the contract, Party A shall bear the losses suffered by Party B.

3. if Party A fails to pfer the technology pferred to Party B without authorization, it pfers to the third party, and shall pay liquidated damages to Party B according to the% of the pfer fee.

4. Party A's pfer to Party B's technology shall be corrected and perfected in time if there are any defects in the technology. If the economic and technical indexes of the contract still can not meet the requirements stipulated in the contract, the liquidated damages shall be paid to Party B according to the% of the pfer fee of the technology, and the losses suffered by Party B shall be compensated accordingly.

Eight, Party B's liability for breach of contract.

2. if Party B unlawfully pfers or pfers the technology pferred by Party A to the third party, Party B shall pay liquidated damages to Party A according to the percentage of the pfer fee.

3. if Party B fails to pfer the technology pferred by Party A into the production within the time stipulated in the contract, Party A shall not interfere with Party A's pfer of technology to the third party in addition to paying the pfer fee to Party A.

Nine, force majeure.

If both parties fail to fulfil the contract due to force majeure, they will not be defaulted after confirmation by the relevant departments, but they must inform the other party in time.
