Model contract for incoming processing and incoming parts assembly

Lantian Electronics Industry Co., Ltd. (hereinafter referred to as Party A)

Smith Electronics Industry Co., Ltd. (hereinafter referred to as Party B)

With the consent of both parties, Party A hereby entrusts Party B to manufacture standard magnetic compass in the following parts:

2. all necessary parts and raw materials shall be provided by Party A or purchased by Party B in the company's purchase and purchase, and the list will be attached to this contract.

3. the processing fee of each model is as follows:

4. the main parts, consumables and raw materials needed for processing are pported to Party A (a place) by the first party. If there is any shortage or damage, Party A shall be responsible for the supplementary supply.

5. Party A shall open a letter of credit or telegraphic pfer of all processing fees within 1 months prior to the delivery of the finished product and the purchase of spare parts, consumables and raw materials by Party B.

6. Party B shall complete the processing and delivery of the standard GLC-1 magnetic compass during the time agreed upon by both parties, and shall not delay the occurrence of any uncontrollable or unforeseen circumstances.

7. loss rate of parts and materials:

The wastage rate of parts and raw materials is about%. The wastage rate is supplied free by Party A. if the wastage rate exceeds that of%%, the parts and raw materials needed for processing should be supplemented by Party B.

8. if Party A fails to deliver raw materials and parts, or overruns the raw materials and parts due to carelessness, Party B shall return the overrun part, which shall be borne by Party A. if there is a shortage, it shall be supplemented by Party A.

9. Party A shall provide parts and raw materials for processing GLC-1 standard magnetic compass. Party B shall strictly comply with specified design and processing, and shall not alter it.

10. technical services:

Party A agrees that Party B shall at any time send technical personnel to the request of the company to assist in training the technical personnel of Party B, and allow the technicians assigned to remain in Party B to inspect the finished products.

For this reason, Party B agrees to pay a monthly salary of $1, 000, and $3 per person, and all other expenses, including travel expenses, shall be borne by Party A.

11. all import and export procedures related to this contract shall be handled by Party B.

12. after processing the standard magnetic compass, Party B shall deliver it to the foreign purchaser appointed by Party A at any time.

13. other conditions:

(1) the trademark of the standard magnetic compass shall be provided by Party A. if a legal dispute arises, Party A shall bear full responsibility.

(2) if necessary, Party B buys parts and raw materials for processing standard magnetic compass at the time of the purchase of the standard magnetic compass and its quality must conform to the standard and should be approved by Party A in advance.

(3) in order to promote export business, Party B shall reserve standard magnetic compass samples and send them to foreign buyers appointed by Party A at any time, and the necessary parts and raw materials are reimbursed by the parts and raw materials supplied by Party A.

14. the contract is in three copies. Party A and Party B shall hold one copy after signing, and the other shall be submitted to the relevant departments for record.

Foreign production and assembly lines, special tools, technical guidance and training workers are responsible by foreign investors.

The processing formula does not own ownership of the incoming materials and the incoming parts, only the right to use.
