In order to develop friendly cooperation between the two sides in fishing net production, we will enhance the friendship between China and Japan.

One

1. Party B is responsible for providing the complete set of equipment and necessary parts for the production of fishing nets, as well as the steel, pipes and freight cars for the expansion and installation of the plant. (the specifications are detailed in Annex one or two). The complete set of equipment is divided into two parts: the old and new parts, which belong to the whole new country. Its performance is an advanced level in the world. It belongs to the equipment of half age. Its main parts need to be completely renewed, and after a comprehensive overhaul, its performance is similar to that of the brand-new equipment of the same type, and the price of equipment and parts is preferential price.

After signing the agreement, Party B shall proceed with the preparation according to the above requirements. Party A will send Party members to the factory to visit the equipment and performance of the equipment in order to arrive at the factory for acceptance.

The patent and technical data of machinery shall be provided free by Party B.

2. Party B is responsible for providing sufficient materials and accessories (including dyes and resins) for the full set of equipment for the center of the 46 machines.

3. Party A is responsible for providing the corresponding plant, water and electricity, labor and packaging materials (the cost of packing materials is settled by Party A to Party B), and is responsible for processing fishing nets according to the specifications, quantity and quality required by Party B, collecting processing fees, and products are sold to Party B for sale.

4. the two sides agree that the price of the equipment and processing fee will be settled in yen.

Two processing quantity and processing fee

Party B guarantees that the annual number of fishing nets processed is more than 500 tons, and the annual processing fee is not less than 240 million yen. Party A guarantees that the above 500 tons of processing capacity or equivalent to processing income of more than 240 million yen should be provided annually.

Four months from the normal operation of the complete set of equipment as trial production and training period, the processing fee will be increased by 60% in the first month, 40% in February, third in 25% months and 10% in fourth months.

The above increased processing fee shall be borne by Party B.

After the expiration of the trial production, the product plan and processing price shall be considered in accordance with the different specifications and actual production conditions. (see Annex three, list of processing fees for fishing nets), the two sides will separately agree on the processing fee, and agree on it in the next six months.

The adjustment should be limited to no more than 10%.

Three payment method

1. the price of steel, pipeline and freight car for installation of equipment, spare parts and extension plant is CMT yen 609 million 152 thousand yen (the original price is 360 thousand and 370 yen, the specific specification is detailed in Annex one or two). The price of the equipment is Shantou.

The method of payment shall be paid by Party A through the credit guarantee of Bank of China in Guangzhou, and 60% instalments shall be repaid in the processing fee collected by Party A until the end of the payment. The interest on the above price shall be borne by Party A. the annual interest rate shall be 7.60%, and interest shall be calculated on the date of the loading date of the last batch of equipment.

2. the payment of processing fee shall be opened to Party A by irrevocable immediate revolving letter of credit 15 days before the first batch of fishing nets.

3. processing fee is payable on the basis of Shantou shipped Bill of lading.

Four pportation and premiums

Party B shall bear the freight and insurance premium for raw materials and accessories delivered to Shantou. Party A is responsible for pporting the finished products to Hongkong or Japan, and the insurance premium shall be borne by Party B.

The insurance premiums for equipment, raw materials, semi-finished products and finished products during the period of storage in Shantou shall be the responsibility of Party A.

Five delivery period

In order to make party a normal production, Party B shall reserve two yuan raw materials and auxiliary materials in Party A, and the raw and auxiliary materials required for normal production shall be subject to the actual acceptance number of Party A.

In order to make the supply normal, Party A should inform the Party B of the amount of inventory received, used and at the end of the month, and inform Party B at the beginning of second months.

If there is any problem in the execution, the two sides will resolve it through friendly negotiation.

The Contractor shall not, in any case, retain the work done.

Six product handling and wastage rate

The product loss rate and defective rate should be reduced by both sides. The nylon multifilament will be temporarily set to 5%, and the wastage rate of nylon monofilament will be determined separately after the trial period.

After the trial period expires, Party A will be responsible for the loss of the defective parts and losses if Party A is responsible for the loss of defective goods and losses due to operational errors. If the quality of the material is not satisfactory, the loss will be borne by Party B.

The raw and auxiliary materials required for trial run shall be borne by Party B.

Seven technology exchange

After the equipment arrives at the Shantou plant, Party B shall send engineers and technicians to install the machine, adjust the machine and test machine to start, until the machine runs normally, so that the product is qualified.

The cost of the above engineering and technical personnel in China shall be borne by Party B.

Party A is responsible for keeping secrets about Party B's production and technical secrets.

After Party A agrees to formally put into production, Party B shall send technical engineers to the factory for technical, production management and quality inspection guidance, and specific measures shall be agreed separately between the two parties.

Party B agrees that Party A shall send technicians to Party B for technical exchange if necessary.

Eight term of agreement

This agreement is valid for the period of third years. In the validity of the agreement, Party A and B shall not reach the same or similar agreement with the two parties.

After the expiration of the agreement, Party B may extend the year of the contract by mutual consent.

Party B expresses his willingness to cooperate with Party A for a long time. Party A appreciates it and hopes that Party B will propose proposals as early as possible so as to facilitate further negotiations.

There are four originals of this agreement, one for both parties and one witness unit, whichever is Chinese.
