Zhejiang Jiaxing energy chemical Limited by Share Ltd (hereinafter referred to as "the company") received the notice from the Zhejiang Jiahua group Limited by Share Ltd (hereinafter referred to as "Jiahua group") of the controlling shareholder of the company in June 13, 2019. Jiayhua group will pledge 83000000 shares of the tradable shares of Everbright securities Limited by Share Ltd (hereinafter referred to as "Everbright Securities") to handle the relevant procedures of stock pledge repurchase business to repurchase and release the pledge.

The relevant information is hereby announced as follows:

1. The basic situation of partial share repurchase

The board of directors and all directors of the company guarantee that there is no false record, misleading statement or major omission in the contents of this announcement, and shall bear individual and joint liabilities for the authenticity, accuracy and completeness of its contents.

As of this announcement, jiatihua group directly owns 602389604 shares of the company (583391692 of which are tradable shares under unlimited sale conditions), including the 125000000 shares of tradable shares issued by the Jiahua group because of the non-public offering of exchangeable corporate bonds, which will be pferred to the guarantee and trust accounts. The remaining 18997912 shares are limited tradable shares, and the time limit for sale is from the date of registration of new shares to 36 months, accounting for 42.04% of the total share capital of the company.

Jia Hua group and actual controller Mr. Guan Jianzhong and their agreement.

Han Jianhong, the operator, holds 628765103 shares of the company, accounting for 43.89% of the total share capital of the company.

The total number of shares held directly in the company's shares held by the Jiahua group is 356000000 shares, accounting for 59.10% of the total shares held by the company, accounting for 24.85% of the total share capital of the company.

The actual controller of the company, Mr. Guan Jianzhong and her co operative man, Ms. Han Jianhong, altogether hold 26375499 shares of the company. There is no pledge or guarantee.
