Sales Agent Agreement

In order to develop trade on the basis of equality and mutual benefit, the parties concerned have entered into this Agreement on the following terms:

4. order confirmation

The quantity, price and shipping conditions of the commodity stipulated in this Agreement shall be confirmed in each paction, and the particulars thereof shall be stipulated in the sales agreement signed by both parties.

5. payment

After confirmation of the order, Party B shall open a confirmed irrevocable letter of credit at sight at the time stipulated in the relevant confirmation in favour of Party A.

Party B shall inform Party A immediately after the L / C is opened so that Party A is prepared to make delivery.

6. Commission

At the expiration of this agreement, Party B shall pay Party B% commission on the total amount of invoice receipts received by Party B if Party B has fulfilled the amount stipulated in the second paragraph.

7. Market Report

Party B shall provide Party A with detailed reports on market conditions and user opinions every 3 months.

Meanwhile, Party B shall, at any time, provide to Party A samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising materials.

8. advertising expenses

During the period of validity of this agreement, Party B shall take care of all expenses for advertising and publicity made by Party B in the above territory.

Party B shall provide Party A with the design and text descriptions of publicity advertisements in advance, and shall be examined and agreed by Party A.

9. term of agreement

This Agreement shall come into force on the signature of both parties, and shall be valid for * * days, from * * to * *. If one party wishes to extend this agreement, it shall notify the other party in writing 1 months prior to the expiry of this agreement.

10. arbitration

If no agreement can be reached through friendly negotiation, it shall be submitted to the Suzhou Arbitration Commission for arbitration in accordance with the provisional rules of procedure of the Arbitration Commission.

The decision of the committee is final and binding on both parties.

Arbitration fees shall be borne by the losing party unless otherwise awarded.

11. other provisions

11.1 Party A shall not supply any commodity specified in this agreement to other buyers in the territory.

If there is an inquiry, it should be conveyed to Party B.

If a buyer wishes to place a direct order from Party A, Party A may supply the goods, but Party A shall send a copy of the sales confirmation to Party B and give Party B% commission based on the invoice value of the paction concluded.

11.2 if Party B fails to provide Party A with at least * * orders within the first month, Party A shall not be liable for this agreement.
