Sales Contract By Specification

For one party (referred to as Party A, represented by Mr.); (address)
The other party (hereinafter referred to as Party B, represented by Mr.); (address)
The two sides signed this contract through friendly consultation.
Article 1 according to the requirements of Party B, Party A agrees to provide A BC hovercraft with each company's per thousand (US $10000) according to the "Specification for sale" provided by Party A (see Annex).
Delivery shall be made within 2 months after Party B has paid the advance payment stipulated in this contract.
The technical conditions for delivery are stipulated in the annex to this contract.
The date of payment for each period of this contract shall be calculated on the date of signing the contract.
Second the total amount agreed upon by the two parties hereto is the price of FOB for the ABC type hovercraft.
That is, the delivery price at the port.
The total amount excludes fuel, food and training costs, but the total amount includes the following costs:
(1) the price of ABC hovercraft;
(2) mooring test fees for ABC type hovercraft, test fees for navigation and docked terminal fees, dock fees and insurance premiums before construction of the vessel.
Third article
3.1. Party A shall bear the tax and customs duties arising from the execution of this contract in the territory of Party A.
3.2. all banking charges and other taxes, duties, pportation, insurance and handling charges related to the performance of this contract shall be borne by Party B.
Fourth in order to ensure that Party A can continue production and fulfill the payment schedule stipulated in the contract, Party B agrees to the obligations stipulated in the following terms and conditions.
4.1. the total amount of this contract is paid in US dollars.
The total amount of payment and the amount of US dollars in the contract are as follows:
4.2., within 19 months from the date of signing the contract, it shall not be later than the date of payment in advance (U.S.D.).
4.3. the first installment payment shall be made within 19 months from the date of signing the contract, that is, the total amount shall be paid not later than the date of.
4.4. second installment payment shall be made within the month of the date of signing the contract, which shall not be later than 19 years / month. The total amount shall be U.S.D.%.
4.5. third installment payment shall be made within the month of the date of signing the contract, which shall not be later than 19 years per month. The total amount shall be U.S.D.%.
4.6. every time payment is made by Party B before two (2) weeks, Party B shall be appointed by Party B to open an irrevocable letter of credit in favour of Party A.
Fifth article
5.1. the inspection of ABC type hovercraft in this contract during construction is responsible for the inspection department of Party A.
Party A will inform Party B 1 months ahead of schedule to send representatives to trial acceptance.
If Party B fails to send representatives to participate in the trial run, Party A will submit the acceptance certificate to Party B, and the acceptance documents will be valid for both parties.
5.2. after the ABC type hovercraft of this contract has completed the trial and acceptance, and Party B has fulfilled the obligations stipulated in the contract, the representatives of both parties will sign the certificate of delivery.
The certificate is in four copies, each party holds two copies, and Party A applies for customs clearance procedures.
At this point, the ABC type hovercraft is pferred to Party B, and the risks and expenses incurred thereafter shall be borne by Party B.
Sixth article
6.1. the hull and electromechanical equipment of the ABC type hovercraft under this contract shall be guaranteed for a period of twelve (12) months under normal operation and maintenance conditions, and shall be counted on the date of signing the certificate of delivery of the ABC type hovercraft.
6.2. during the warranty period, Party A is responsible for repairing or replacing defective parts of any defects arising from manufacturing quality and materials used.
6.3. Party A shall not be liable for damages caused by normal and reasonable wear and improper use.
Seventh article
7.1. both parties are obliged to keep the contract confidential, and the contents of the contract shall not be disclosed to a third country without the other party's permission.
Party B guarantees that the products and materials stipulated in the contract shall not be pferred to other countries.
7.2. any notifications and correspondence which are related to this contract shall be sent directly to the parties concerned in this contract by means of secret channels through domestic channels.
Eighth article
8.1. during the performance of this contract, any differences of opinion between the two parties shall be settled by friendly negotiation.
8.2. the contract is in English, with two originals and one copy each.
This contract shall come into force immediately from the date of signature by the representatives of both parties.
8.3. all the annexes to this contract are integral parts of this contract.

Catalogue of completed documents for type 1.ABC hovercraft;
2. compartments name table;
3. detailed list of spare parts and special tools for mechanical parts.
4. spare parts and special tools supply list for electrical appliances.

Note: the specification of commodities (Specification) is an indicator of the quality of goods, and this index is used as a standard for testing commodities.
Some commodities require certain procedures due to their complicated structure and performance, installation, operation and maintenance. Therefore, the products that are bought or sold according to specifications must have technical documents such as product performance specifications, technical charts, operation and maintenance manuals.
These technical documents, as annexes to the agreement, have legal effect.
Although the contract goods are tested according to the specifications of the commodity, the inspection and acceptance of the goods and the issuance of the certificates shall be made clear in the agreement.
