Chongqing beer announced today (June 18th) that the agreement will be pfered at a price of 99 million 200 thousand and 600 yuan, which is still the "Shan Cheng" brand of beer, which is held by heavy beer group, the largest shareholder of the company.
Nearly 100 million yuan for all trademarks
The announcement shows that Chongqing beer will be sold at the price of 99 million 200 thousand and 600 yuan by the heavy beer group's "Shan Cheng" beer series trademark and associated trademark.
Heavy beer group is currently the largest shareholder of the company, holding 156 million shares of the company, a total of 32.25% shares.
According to the assets assessment report of the relevant intermediary organizations, the assessment value of the registered trademark of "Shan Cheng" beer series as of December 31, 2009 was 260 million yuan, and the 127 trademarks registered "Sitwell" and "heavy beer" for the registered trademark of "Shan Cheng brand" beer series were 400 thousand and 600 yuan in December 31, 2009.
The independent financial advisor report on the contribution ratio of heavy beer group and heavy beer to the registered brand value of "Shan Cheng" Beer Series issued by the Economic Information Consulting Co. Ltd. shows that the value contribution of "Shan Cheng" brand beer is divided into qualitative sections in each time interval and quantified according to the actual input. The present value of the heavy beer group and Chongqing beer's input to the "hill city" brand beer brand is simulated. The proportion of the contribution of the heavy beer group to the valuation value of the registered trademark of the "mountain city" brand beer series is 38%, that is, 98 million 800 thousand yuan. Public information shows that Chongqing beer has been producing "Shan Cheng brand" beer since its inception. In 2009, the output of "Shan Cheng brand" beer was 592 thousand tons, and its sales volume was 1 billion 330 million yuan, accounting for 60.82% of the total sales volume of beer business in that year.
But for a long time, the company has no ownership of the registered trademark of "Shan Cheng" beer series.
When Chongqing beer was listed on the Shanghai Stock Exchange in 1997, the heavy beer group licensed Chongqing beer to use the "Shan Cheng brand" registered trademark in the form of a license agreement. In 2004 ~2009, the Chongqing beer paid the "Shan Cheng brand" registered trademark usage fee to the heavy beer group every year in accordance with the standard of 800 thousand yuan / year.
Chongqing beer said that by acquiring the registered trademark of "Shan Cheng brand" beer series, the company will solve the separation of the right to use the trademark and ownership of the major products, ensure the integrity of the assets of the company, resolve the operational risks that may be brought to the company by intangible assets, and make it possible for the company to rapidly expand its capacity, increase sales and market share through authorized use and paid cooperation.
