Transferor: hereinafter referred to as Party A (hereinafter referred to as "party a")

Article 1. According to the law of the People's Republic of China on mineral resources, the measures for the registration and management of mineral resources exploration blocks, the regulations on the management of mineral resources exploitation and registration, and the relevant laws, regulations and normative documents of the Ministry of land and resources, the administrative measures for the auction and listing of prospecting rights and mining rights, such as the relevant laws, regulations and normative documents, and the confirmation of the auction right of mining right and mining right in Cha Jiao Tan mine field, Gulin, Sichuan, the two parties conclude this contract on the principle of equality, voluntariness, honesty and credibility.

The second item is that Party A sells the auction rights "the right of exploration and mining rights of the coal mine in Cha Jiao Tan, Gulin County of Sichuan province" according to law.

The scope of exploration right and mining right is: 7.55 square kilometers, elevation +1000~+100 meters, and the scope is 9 points:

Prospecting and mining: coal.

Party A provides Party B with "coal resource / reserves estimation report" in the coal mine in Sichuan province.

Third, the prospecting right granted by this contract is valid for 2 years, and is calculated from the date of the issuance of the prospecting license. The mining right granted by this contract is valid for 30 years, and is calculated from the date of issuing the mining license.

The fourth item is only the right to prospecting and mining, not including the right to use the land and other real rights.

The prospecting rights granted under this contract shall not be extended or pferred. The right to pfer the mining right can be pferred and mortgaged according to law when it meets the statutory conditions. The validity of the pfer and mortgage shall not exceed the validity period of the mining right.

The fifth item is: the total price of auction and pfer of the prospecting right and mining right of Cha Jiao Tan mine field in Gulin County, Sichuan province is RMB yuan ($10000).

The price does not include the royalties for exploration, the royalties for mining rights, the compensation fees for mineral resources, the registration fees for prospecting rights, the registration fees for mining rights, and other related statutory taxes and fees.

After the auction, Party B agreed to pay 40% of the paction price (including the performance bond) within 15 days from the date of the auction confirmation of the mining right and mining right in the cha Jiao Tan mine field, Gulin County, Sichuan province (including the performance bond), and pay 30% of the paction price within 30 days from the date of signing the contract. The balance will be paid within 60 days from the date of signing the contract.

Article Sixth Party B shall, within 3 months from the date of signing the contract, prepare in accordance with the relevant laws and regulations.

Party A shall, within 40 days from the date of accepting the application for Party B's prospecting right registration, handle the prospecting right registration procedures for Party B and issue the mineral resources exploration license in accordance with the law.

Article Seventh Party B shall, within the validity period of prospecting rights, prepare relevant materials according to relevant laws and regulations, and go to Party A for registration of mining rights.

Party A shall, within 40 days from the date of accepting party B's application for mining right registration, handle the mining right registration procedures and issue mining in accordance with the law.

The eighth item is Party B's exploration and mining activities within the scope of the pferee's prospecting right and mining right, and shall abide by the relevant laws and regulations, and fulfill all its legal obligations, and shall not be damaged.

The legitimate rights and interests of Party B shall be protected by law.

Ninth, for the mineral resources within the mining area, Party B must entrust the qualified units to compile the development and utilization plan and the mine geological environmental impact assessment report, adopt the scientific mining method, exploit the mineral resources according to law, and maximize the protection of the local state and geological environment.

Tenth Party B shall deal with matters relating to land resources, forest production, safety production and environmental protection in mineral resources exploration, mine construction and mineral resources development and utilization, and shall bear the legal liabilities and expenses incurred by Party B in accordance with the provisions of relevant laws and regulations.

The eleventh item, due to the needs of major national construction projects, affects the performance of this contract, and shall be dealt with in accordance with the relevant laws and regulations of the state and relevant policies.

The twelfth contract shall terminate at the expiration of the time limit stipulated in this contract.

Party B shall perform the statutory obligations of land reclamation and other related legal and regulatory provisions, and handle the cancellation procedures for mining rights.

If Party B needs to continue to exploit the remaining coal resources within the scope of the mining area stipulated in this contract, the application of the continuation registration of the mining right shall be submitted to Party A 30 days before the expiration of the period of the validity of the mining license.

In conformity with the conditions for continuing ore processing, Party A may sell the mining right to Party B in accordance with the laws and regulations of that time.

However, Party B has the right not to approve Party B's application if Party B fails to fully fulfill its statutory obligations or if it is in violation of the provisions of the mineral resources law of the People's Republic of China and other relevant laws and regulations.

The thirteenth is that any party may be liable for breach of contract because of force majeure and failure to fulfill its contractual obligations. However, all necessary remedial measures must be taken to mitigate the losses.

The fourteenth item is that Party B fails to pay the auction price of the prospecting right and mining right stipulated in the contract or fails to go through the registration procedures for prospecting right and mining right within the prescribed time limit. It is deemed to be the right to abandon the prospecting right and the mining right on its own. Party A has no right to refund the performance bond and the pfer price of the right of prospecting and mining right. Party B has no right to claim the prospecting and mining rights stipulated in the contract. Party A has the right to reassign or otherwise handle the prospecting rights and mining rights stipulated in the contract.

The fifteenth item is that Party B must entrust qualified geological prospecting units within 6 months of obtaining the right of prospecting in this contract, and carry out geological exploration work according to the geological exploration design.

Party B must start construction within 6 months after obtaining the mining rights stipulated in this contract, and 3 years after commencement of construction, it must invest in mining production.

Party B has the right to terminate this contract if it fails to carry out exploration or overdue production or mining within the time limit.

Due to force majeure, delay in exploration or construction or overdue investment in exploration and mining production.

The sixteenth reason is that Party A's negligence has resulted in Party B's failure to obtain the prospecting right and mining right under this contract, causing economic losses to Party B.

Seventeenth, the settlement, validity, interpretation, performance and dispute settlement of this contract shall be protected and governed by the laws of the People's Republic of China.

Disputes arising from the execution of contracts shall be resolved through consultation between the two parties concerned.

If negotiations fail, they may bring a suit in a people's court that has jurisdiction over it.

The eighteenth contract shall become effective after the signature or seal of the two parties' legal representatives or their entrusted agents.

The nineteenth contract is written in Chinese. The original Chinese version of the contract is in eight copies, each side holding copies.
