Franchise Contract (Direct Chain)

In accordance with the relevant provisions of the contract law of the People's Republic of China, through the friendly consultation between Party A and Party B, the following agreements have been reached for Party B's franchise products:

First, Party A authorizes Party B to operate a series of products in the District of the city of China.

Two, the business period will start from the month of 200__, the month of January to the end of the month of 200__, and the contract will be renewed after the expiration of the contract.

Three, both Party A and B bear civil liability in the contract term. They have no property rights and affiliation relations, but they must be managed according to the unified mode of Party A. Party B can only operate the products of "Paros (POROSS) brand" in their franchisees.

Four, franchise costs

1, Party B will pay the party a one-time payment of the sum of money from the date of signing the contract.

This contract shall come into effect from the date when Party B pays the specified amount to Party A.

2. This contract stipulates that Party B's payment is the cost of Party A's franchise license granted under this contract, and the franchise shall not be returned from the date of payment to Party A by Party B.

4, Party A promises not to operate the Paros franchise within the same scope of the same area as Party B opens, or to allow the third party to operate. Other Paros stores (Paros shop store) is not subject to this restriction.

Five. Party A's rights and obligations

2. Party B should be provided with certificate of alliance, franchisees, uniform trade names, decoration design, advertising support and corresponding marketing management system.

4. Party A will supply the goods to Party B on the basis of the unified retail price of the commodity (Party A reserves the right to adjust the supply price accordingly due to the material price in the international market).

5. Party A is responsible for ensuring the quality of the products and quality problems during the product warranty period.

6. Party A's new product launch shall be preceded by Party B's agent in the area.

7. during the opening period, Party A can send professional personnel to free training at home, travel expenses and wages shall be borne by Party A; Party B shall be responsible for the lodging and personal safety of the trainers of Party A during the training period.

8. when Party B receives the monthly sales refund amounting to $10 million yuan, Party A will give the reward to the company.

Six. Rights and obligations of Party B

1. get the right of regional operation "Pallus international soup" and "brand of" brand.

2. obtain the right to use products, trade names and management systems designated by Party A.

3. Party B provides relevant documents and identity certificates approved by the local industry and Commerce Department.

4. Party B shall pay at least 30% of the distribution amount after signing the contract. The actual amount is RMB, and the amount of RMB shall be paid within 10 days after signing the contract.

5. if you are a regional distributor, the first purchase amount of Party B is calculated as the actual amount, the same as RMB yuan, and the minimum monthly purchase amount is RMB yuan.

Within half a year after signing the contract, Party B will have less than 3 investment in the region, or Party A will have the right to cancel Party B's 2 months without any purchase.

Qualifications.

6. if a subordinate chain store is developed by Party A, if a unified contract is signed by Party A and the business is arranged, each party will receive a bonus of RMB 2000 yuan for each development, and its products will be supplied by Party B at the prescribed price.

7. Party B sells the above products only to the first agreed area.

If Party B has cross regional sales behavior, once confirmed, Party A will recover the product and impose a fine.

8. when Party B sells the above products, its retail price shall not fluctuate more than 15% of Party A's retail price, and the wholesale price shall not be lower than Party A's supply price to Party B.

9. Party B must actively cooperate with Party A's regular or irregular reconciliation work and return the monthly business status to Party A for discussion and publicity.

Seven. Product delivery and delivery.

1. Party A delivers the goods to the delivery and delivers the goods according to the order form and the remittance slip.

2. the products shall be entrusted by Party B by Party B, and the consignment expenses shall be borne by Party B.

3. Party B shall check and accept the products within 3 days after receiving the goods. The acceptance shall be based on Party A's invoice. If there is a shortage or wrong condition, it is attached to the invoice and sent back to Party A to verify the replacement. If it is not mistaken, Party B needs to sign the bill and receive the goods, and send the documents back to Party A.

If Party A has not received the acceptance documents of Party B 10 days after the arrival of the goods, Party B will be deemed to have completed the inspection and warehousing of the goods.

4. Party B needs to replace the purchased products. If Party A's quality is concerned, Party A is responsible for free conversion. If Party B is to replace the goods automatically, if the packaging damage affects the re sale, Party B shall bear the 30% of the packaging cost after the product discount price.

Eight, breach of contract and its

Any breach of the above clause is regarded as a breach of contract: the party who terminates the contract unilaterally without any breach of contract shall also be deemed to be a breach of contract. In case of a unilateral breach of the contract, the contract keeping Party may terminate the contract immediately, and the breach party shall pay the breach of contract 20% of the contract price to the contract keeping Party.

Force majeure factors can be dealt with separately.

Nine, unresolved matters agreed by the two sides

This contract shall enter into force upon signature by both parties.

There are two copies of this contract. Each party holds one copy. If there is a dispute between the two parties, the negotiation can not be reached, and the arbitration can be initiated at the place where the contract is signed, or the ruling should be submitted to the people's Court of the contract.
