The registration of the group company must comply with the provisions and requirements of the People's Republic of China company law of 2006 on the registered capital of the group company.

A group company refers to a corporate body consisting of parent company, subsidiary company, share holding company and other members, taking capital as the main link, parent subsidiary company as the main body and group statute as common behavior norm.

Take Shanghai registered group company as an example, Shanghai group's registered capital requirements and requirements are as follows:

1. The minimum registered capital requirement of a group company

(1) the conditions for an enterprise name to be approved by the General Administration:

1. The registered capital of the parent company is more than 50 million yuan (the parent company of the enterprise group should be a company owned enterprise; for the state-owned enterprise as the main body to set up the enterprise group, and the registered capital of the core enterprise of the group is above RMB 100 million yuan, it can be a non corporate enterprise legal person, the same below).

2, there are 5 subsidiary companies.

3, the total registered capital of parent company and subsidiary company is more than 100 million yuan.

(two) the conditions for the conglomerate with the name of provincial Name:

1, the parent company's registered capital is more than 10 million yuan, and has more than 3 holding subsidiaries, and the parent subsidiary company's registered capital totaling more than 20 million yuan professional R & D group;

2, the parent company's registered capital is 10 million yuan, and has more than 3 holding subsidiaries, and the parent company's registered capital total 20 million yuan or more of the modern service industry group;

3, the parent company's registered capital is more than 30 million yuan, and has more than 4 holding subsidiaries, and the registered capital of parent and subsidiary companies totaling more than 50 million yuan.

"Modern service industry" includes:

(1) production service industry, that is, the supporting industry of manufacturing industry, including modern logistics industry, science and technology service industry, financial industry and business service industry;

(2) emerging services, including information services, cultural industries, tourism and real estate.

(3) traditional services, including modern business and residential services.

Two, the period of capital contribution of registered capital of group company

Registered capital can be contributed in batches, the first registered capital is not less than 20% of the total registered capital, and the remaining registered capital can be put in place within 2 years.

Three. The way to invest capital of group company's registered capital.

1, according to the new People's Republic of China company law, the way of shareholders' contribution can be money, or in kind, patented technology, and industrial property rights.

2, the proportion of monetary contribution to total registered capital is no less than 30%.

3, the way of investment in kind must be assessed by a professional evaluation institution, with the assessed price as the amount of capital contribution.

Four, registered group company capital verification

A shareholder shall register a group company with monetary contribution. The registered capital must be entered into the temporary capital verification account of the company, a professional accounting firm shall be invited to make capital verification, and a capital verification report shall be issued to the industrial and commercial bureau for record.

Five. Increase or decrease in registered capital of group companies

After the registration of a group company is completed, the registered capital can be increased or reduced if necessary in daily business activities.

The increase or decrease of registered capital must be registered and registered by the industry and Commerce Department, and the business license, tax registration certificate and organization code certificate should be changed.
