In accordance with the contract law of the People's Republic of China and China's relevant laws and regulations, in order to protect the legitimate rights and interests of Party A and Party B, with the full and friendly negotiation between both sides, the following terms and conditions shall be reached for the purchase of UPS uninterrupted power supplied by Party a by Party A.

All the contract price shall be remitted to Party B's account by telegraphic pfer or by draft.

Seventh Party B guarantee and commitment

1. Party B guarantees that the contract products are in conformity with the provisions of the second clause and the technical specifications provided in this contract.

Otherwise, Party A shall have the right to return the goods. Party B will refund all the payment to Party A and pay 20% of the total payment to Party A.

If Party B delays delivery, Party B will pay 0 of the late payment to Party A every day.

Ninth article

If any party affects the performance of this contract due to natural disasters and force majeure, it shall promptly inform the other party of the reasons for its failure to perform. After obtaining the proof of the competent authorities, the other party may allow to postpone the execution, perform partially or fail to fulfill the contract by the other party's consent.

The tenth solution

The parties choose the following two ways to choose the way to solve the dispute in this contract.

(1) disputes arising from the execution of this contract shall be resolved through consultation by the parties concerned, and if it fails to be negotiated, it shall be submitted to the Handan Arbitration Commission for arbitration.

(2) disputes arising from the execution of this contract shall be settled through consultation by the parties concerned, and if the consultation fails, the case shall be brought to the people's court according to law.

Eleventh supplementary provisions

This contract is made in four copies, each party holding two copies, which shall take effect from the date of signature and seal by both parties.
