First agreement item

Second software prices, payment methods

Third software development time

On the date of signing the agreement, Party A shall start the development of the software. The development time is a month. Fourth software acceptance criteria

The acceptance criteria of Party B shall be based on the functional instructions of the two parties.

Fifth after-sales service terms and time

Party A shall provide Party B with free training of a certain number of software users.

Party A provides free software system maintenance service for one year. Including data sorting, backup and so on. This time is one year from the date of acceptance of the software by Party B. After the expiration of the free service, another service agreement will be signed.

During the two years from the date of acceptance of the software, Party A will provide the system upgrade service to Party B free of charge if the software system is updated. After the expiration, Party A will be in need of user Provide update service for the latest version of the system, collect fees uniformly.

Sixth, the hardware and operating system of the software running by Party B shall be resolved by Party B itself. Party A will not provide upgrade or maintenance to Party B's computer platform, and will not bear any other copyright matters such as Party B. responsibility 。

Seventh in the process of software use, if Party B wants to add additional functions other than the appendix (functional design book), Party A shall pay separately the development expenses of Party A. if Party A is concerned with the quality of the software itself, Party A will make a free amendment to Party B.

Eighth the software developed by Party A for Party B can only be used in the scope of Party B's agreement. Party B shall keep the software products developed by Party A properly, respect all the copyright of Party A, and do not reverse engineer, reverse compile, disassemble or rent the software products sold by Party A.

Otherwise, Party B is willing to bear all the things that it brings to Party A. loss Party A reserves the right to pursue Party B's legal liability.

Ninth others

1. Party A is only responsible for developing software. Party B will use the software to do other business, and the consequences will be borne by Party B.

2. in addition to force majeure or mutual agreement, this Agreement shall not be cancelled.

3. if there is any dispute between the two parties during the agreement period, they should be settled through friendly negotiation. If the consultation fails, it can be submitted to the Shenzhen economic arbitration institution for promotion.

The eleventh agreement is effective from the date of signing the agreement.
