How To Design A Commissioned Design Contract

Party A adhering to the principle of mutual trust, Party A will entrust Party B with the design of handbag style matters, and after friendly negotiation, sign this contract and abide by it:

1. Entrusted matters:

Party A entrusts Party B to carry out handbag style design for him.

Two, design requirements and quantity:

1, party a commissioned party B's handbag design to be divided into two series: spring summer, autumn and winter.

Each series is divided into 15 groups of different styles, each style contains 4 designs, a total of 120 designs.

2, spring and summer series styles must be completed in the year of each year.

Three, commissioned design fees:

1, the design cost of each handbag is RMB yuan (capitalization: whole). The two parties shall not make any adjustment to the design fee within two years from the date of signing the contract.

2. If Party B designs each handbag, if he enters the market to get the corresponding order, Party A can pay Party B's royalty separately according to the market demand, and the royalty fee is% of the sales of the handbag.

Four. Payment terms:

1. Party A shall pay 50% of the design fee when it is entrusted to Party B for the design. It shall be a deposit of RMB yuan (Capital: Yuan Zheng).

2. after the completion of the handbag style plate, the two parties sign or seal the confirmation version. After confirmation, Party A immediately pays off all the balance of the design cost.

Five. The time and delivery method of Party B's design work:

1, Party B shall, within the working day after receiving the deposit paid by Party A, design the draft and submit it to Party A in accordance with the intention and idea put forward by Party A to the commissioned design.

2, Party B delivers the design works by Party B in the form of color printing and electronic disk.

Six. Agreement on intellectual property rights:

1, Party A has the ownership, the right to use, the copyright, the copyright and the right of revision for the works completed by Party B, and Party B reserves the right of authorship of the work.

2. The copyright of the design works includes the design patterns, lines and collocation of the work itself. Party A has the right to arbitrarily split the patterns in the design works and apply them to other handbag versions.

Seven. Rights and obligations of the two parties:

The rights of Party A:

1. Before Party B designs the first draft, Party A shall have the right to put forward suggestions and ideas for the design of Party B, so that the works designed by Party B will be more in line with the cultural connotation of Party A and the needs of domestic and foreign markets.

2. After Party B designs the first draft, Party A shall have the right to make amendments to the works designed by Party B until the design is finished.

3. In view of the fact that the handbags produced by Party A are mainly used for export, Party A may ask Party B to accompany him when he is exhibiting abroad, so as to listen to the customer's needs and style for product design.

Obligations of Party A:

1, Party A has the obligation to pay the related expenses stipulated in the contract.

Party B's rights:

1, Party B has the right to require Party A to pay the corresponding amount according to the contract.

2 Party B has the right to require Party A to pay the corresponding travel expenses while accompanying Party A to attend the exhibition abroad.

Obligations of Party B:

1, Party B shall carry out the work design according to the requirements of Party A, and modify according to Party A's opinions until the design type plate making is completed.

2, Party B shall deliver the design work on time according to the contract.

3, if Party B delivers the design work to Party A and obtains the corresponding remuneration of Party A, he shall abide by the principle of good faith, and shall not deliver the designed works to the third party for production or sale, nor shall he engage in any business dealings with the customers of Party A in handbag business.

Eight, the time limit for entrustment is from 2010 month to 2012 month. The renewal of this contract should be renewed separately.

Nine, confidentiality provisions:

Party A has the obligation to confidentiality of the contents of this agreement. Neither party shall disclose to the third party without the written consent of one party, otherwise the loss caused by the party to the contract shall be borne by the breaching party.

Nine, liability for breach of contract:

1. When Party A pays the design fee for Party B's overdue payment, Party A shall pay the party's late fee according to the 2/1000 of the unpaid design cost per day.

2. Party B fails to deliver the design to Party A on time.

Party B shall compensate Party A for compensation. The amount of compensation is insufficient to compensate Party A's actual loss. Party B shall pay the actual loss.

Ten, dispute resolution:

A dispute between parties A and B shall be settled through friendly negotiation between the two parties in connection with the execution of this contract. If negotiation fails, either party shall have the right to institute proceedings against the court in the place where the contract is signed. The disputes arising from this contract shall be governed by the laws of the People's Republic of China.

Eleven, the contract becomes effective:

There are two copies of this contract. Each party holds one copy and has the same legal effect.

Twelve. The appendix of this contract is an important part of this contract. It has the same legal effect as this contract.
