Wuxi: How To Define The Registered Capital Of A Registered Company?

Before the promulgation of the new company law in 2006, the minimum registered capital of the registered company is:

General enterprises

(1) the twenty-third provision of the company law stipulates that the registered capital of a limited liability company shall not be less than the following minimum:

(1) the company mainly produces and operates RMB five hundred thousand yuan;

(2) the commodity wholesale company is RMB five hundred thousand yuan;

(3) commercial retail companies mainly account for three hundred thousand yuan.

(4) technology development, consulting and service companies are RMB one hundred thousand yuan.

The minimum registered capital of a limited liability company in certain industries is higher than that specified in the preceding paragraph, and shall be separately stipulated by laws and administrative regulations.

(two) the Seventy-eighth provision of the company law provides that the minimum registered capital of the Limited by Share Ltd shall not be less than 10 million yuan;

(three) the 152nd provision of the company law stipulates that the share capital of a listed company shall not be less than 50 million yuan;

(four) the Interim Provisions on certain issues concerning the establishment of Companies Limited by Shares with Foreign Investment (January 10, 1995) seventh stipulate that the minimum registration limit for foreign investment joint-stock companies is RMB 30 million yuan.

The above are the general provisions for the minimum registered capital of enterprises. Different departments may have some special provisions for different enterprises, but they must comply with the general provisions of the company law on the minimum registered capital of enterprises. If the corresponding departments in charge of some industries do not formulate a special minimum registered capital requirement for the establishment of enterprises, they also need to abide by the provisions of the company law.

Fund enterprises

"1" and the name should conform to the regulations on the registration of names, and allow the name of investment enterprises to be used in scale to use the words "investment fund".

The terms used in "2" and "Qi" can be used in terms of "venture capital fund, venture capital fund, equity investment fund and investment fund".

"Beijing", as administrative division, is allowed to be used between trade names and industry terms.

"3" and "Lei Fu fund": investment fund company "registered capital (amount of investment) not less than 500 million yuan, all in the form of monetary contributions, when the establishment of the actual receipt of capital (the actual amount of capital contributions) not less than 100 million yuan; 5 years, registered capital in accordance with the articles of Association (partnership agreement) commitment to all in place."

"4", the investment amount of a single investor is not less than 10 million yuan (the general partner in a limited partnership is not in this restriction clause).

"5" and at least 3 executives have experience in equity investment fund management or related business experience.

The business scope of "6" and "Hong Kong" fund enterprises is approved as investment, investment management and consultation of non securities business.

(a fund enterprise may apply for any other business item other than those mentioned above, but shall not engage in the following businesses:

(1) granting loans;

(2) publicly trading securities investment or financial derivatives pactions;

(3) raise funds publicly.

(4) providing guarantees to enterprises other than invested enterprises.

"7" management fund company: Investment Fund Management: "registered capital (amount of investment) not less than 30 million yuan, all in the form of monetary contributions, the actual receipt of capital (the actual amount of capital contributions)".

"8", the investment amount of a single investor is not less than 1 million yuan (the general partner in a limited partnership is not in this restriction clause).

"9" and at least 3 executives have experience in equity investment fund management or related business experience.

"10", management fund enterprises

Approved as: investment, investment management and consultation of non securities business.

Group enterprise

(1) the state stipulates that the parent company is 50 million yuan, and the mother and child merger is 100 million yuan, which can be linked to "group" (more than five subsidiaries).

(two) Zhejiang province will be relaxed to the parent company 30 million yuan, the mother and child merge 50 million yuan may hold "the group";

(three) the Zhejiang Provincial Administration for Industry and Commerce promulgated ten enterprise admittance reform initiatives, encouraging the establishment of investment companies. The minimum registered capital can be relaxed to 10 million yuan, and the new company with a registered capital of more than 50 million yuan is allowed to use the name of the group first.

The "five batches" and the enterprise groups established by industrial enterprises with Zhejiang famous trademarks can be relaxed to 3000 million yuan, and the total registered capital of parent companies and subsidiaries can be reduced to 50 million yuan. Cultural, educational, tourism, agricultural development enterprises and technological enterprises with independent intellectual property rights are encouraged to form enterprise groups. The minimum registered capital of the core enterprises can be relaxed to 10 million yuan, and the total registered capital of parent subsidiary companies can be relaxed to 30 million yuan.

The registered capital of the company can be reduced to 5 million yuan in the name of "Zhejiang", and the registered capital of the less developed areas can be reduced to 3 million yuan.

Hi-tech, culture, tourism, sports, breeding and intermediary services can be reduced to 2 million yuan.

Securities companies

(1) the 121st provision of the securities law provides for the establishment of comprehensive securities company with the minimum registered capital of RMB five hundred million yuan, and the minimum registered capital of brokerage securities companies is RMB fifty million yuan.

(two)

The fifth order of the securities companies' management measures stipulates that the paid up capital of a securities company's establishment of entrusted investment management business must be no less than RMB 500 million yuan; the investment bank subsidiary whose establishment is engaged in securities underwriting, listing recommendation and financial advisor is not less than RMB 500 million yuan.

(three) the sixth provision of the rules for the establishment of foreign equity participation securities companies stipulates that the registered capital of foreign equity participation securities companies conforms to the provisions of the Securities Law on the registered capital of comprehensive securities company;

(four) the securities law does not provide for the minimum registered capital of the stock exchange, even if the "stock exchange management measures" has not provided for this.

(five) the securities law stipulates that the securities depository and clearing institutions have their own funds of not less than 200 million yuan, but have not provided for the minimum registered capital. The management measures of the stock exchange have made a supplementary provision to stipulate that the registered capital of the securities registration and clearing institutions shall not be less than one hundred million yuan.

(six) the securities law does not provide for the minimum registered capital of securities trading service institutions. The Interim Measures for the management of securities and futures investment consultation (approved by the State Council in November 30, 1997 and promulgated by the Securities Commission of the State Council in December 25, 1997) stipulates that the sixth provision has a registered capital of more than 1 million yuan.

(seven)

The tenth provision of the Interim Measures stipulates that the duration of the closed-end fund shall not be less than 5 years, and the minimum amount of collection shall not be less than 200 million yuan, requiring the capital of each promoter of the fund to be no less than 300 million yuan. The "open securities investment fund pilot scheme" stipulates that the open-ended fund shall be closed to the fund; the fund trustee shall receive no less than 8 billion yuan; the establishment of the fund management company shall have a paid capital of not less than 300 million yuan per initiator; the minimum paid capital of the fund management company to be set up is 10 million yuan; the "establishment of overseas Chinese industrial investment fund management method" (approved by the State Council in August 11, 1995 and promulgated by the people's Bank of China in September 6, 1995) tenth stipulates that the total amount of the overseas investment fund to be established shall not be less than 50 million dollars.

(eight) the Ministry of finance, the Ministry of labor and social security, "Interim Measures for the investment and management of the national social security fund", twelfth, make the investment fund managers of the social security fund not less than 50 million yuan, but at any time maintain no less than 50 million yuan; the social security fund trustee shall receive a capital of not less than 8 billion yuan.

Trust investment company

The regulations on the management of trust and investment companies stipulate that the minimum registered capital of a trust investment company shall not be less than RMB 300 million yuan, and the registered capital of a trust investment company operating foreign exchange business shall include not less than 15 million dollars of foreign exchange value.

Futures brokerage company

The Interim Regulations on the management of futures trading stipulate that the establishment of futures brokerage companies shall comply with the provisions of the company law, and shall have the minimum registered capital of RMB 30 million yuan, but no provisions are made for futures exchanges.

Bank enterprise

(1) the thirteenth provision of the commercial bank law of the People's Republic of China stipulates that the minimum registered capital for the establishment of commercial banks is RMB one billion yuan; the minimum registered capital of Urban Cooperative commercial banks is RMB one hundred million yuan; the minimum registered capital of rural cooperative commercial banks is fifty million yuan, and the registered capital should be paid in capital.

(two) the State Council Decree No. 340th "Regulations on the administration of foreign funded financial institutions of the PRC" stipulates that the minimum registered capital of a wholly foreign-owned bank or joint venture bank shall be RMB 300 million yuan equivalent.

The minimum registered capital of a wholly foreign-owned financial company or a joint venture financial company is a convertible currency equivalent to 200 million yuan, and a branch of a foreign bank shall be provided by the head office with a working capital of freely convertible currencies equivalent to not less than 100 million yuan.

(three) the detailed rules for the implementation of the regulations on the administration of foreign funded financial institutions of the PRC (February 2002), thirty-first foreign-funded financial institutions operating seventeenth or eighteenth of the regulations, stipulate the following conditions: foreign institutions, foreign investment enterprises, foreign institutions in China, Hongkong, Macao and Taiwan, foreign exchange businesses and non foreign invested enterprises in mainland representative offices, foreigners, and Hongkong, Macao and Taiwan compatriots.

(1) the working capital of a branch of a foreign bank shall be no less than one hundred million yuan in the freely convertible currency.

(2) the registered capital of a wholly foreign-owned bank or joint venture bank shall be no less than RMB three hundred million yuan.

(3) the registered capital of a wholly foreign-owned financial company or a joint venture financial company shall be no less than RMB two hundred million yuan.
