2.商品名及び數(shù)量または金額

4.注文の確認(rèn)

Confirmation of Orders

本契約に規(guī)定された商品の數(shù)量、価格及び船積み條件などは、各取引において確認(rèn)し、その內(nèi)訳は雙方が締結(jié)した販売協(xié)議書(shū)に規(guī)定するものとする。

The quanties、prces and shipments of the compdities stated in this Agreement share be confirmed in each traction、the particulars of which are to be specified in the Sales Confirmation signed by the two partherees.o.

5.支払い

Payment

注文確認(rèn)後、乙は関連確認(rèn)書(shū)に規(guī)定された時(shí)間通りに甲を受益者とする取消不能の一覧払い信用狀を開(kāi)設(shè)しなければならない。

乙は信用狀を開(kāi)設(shè)したら、すぐに甲に連絡(luò)して、甲が納品する予定です。

After confirmation of the order，Party B sharll arrange to open a confirmed，irrevocable L/C available by draft at at sight in favour of Party A within the time stipulated in the relevant/C.Party

6.コミッション

Comission

本契約の満了時(shí)に、乙が第二項(xiàng)の規(guī)定額を完成した場(chǎng)合、甲は積込貨物の受領(lǐng)した領(lǐng)収書(shū)の累計(jì)金額によって、乙の__u_u_u_u u_u%のコミッションを支払うものとする。

Upon the expiration of the Agreement and Party B‘s fullfilment of the total turnover mentioned in Artcle 2，Party A share pay to Partty Bugugufulment the basis of the aggregate amout the purce。

7.市場(chǎng)狀況報(bào)告

Reporton Market Coditions

乙は3ヶ月ごとに甲に當(dāng)時(shí)の市場(chǎng)狀況とユーザーの意見(jiàn)に関する詳細(xì)な報(bào)告を提供します。

また、乙はいつでも甲に他のサプライヤーの類(lèi)似商品サンプルと価格、販売狀況と広告資料を提供してください。

Party B share forward once everthree monts to party A detailed reporton on market conditions and of consumers'comments.Meanwhile，Party B share，from time to time，send to party A samples of millar codities office therever。

8.広告費(fèi)用

Advertising&Publicity Expenses

本契約の有効期間內(nèi)に、乙は上述の販売地區(qū)で宣伝した一切の費(fèi)用を乙自身で管理する。

乙は事前に甲に宣伝広告の図案と文字説明を提供し、甲の検閲によって同意する。

PartB share bear all expenses for advertising and publicity within the aforement ioned territory in the duration of this Agreement and submit to Party A all patterns and/or drawings and description for prior Protioval.

9.協(xié)議の有効期限

Validity of Agreement

本契約は雙方の署名により発効し、有効期限は_______u_u_天、自_____u_u_u_u_u_u u_u u u u_u u u_u u_u u u_u_u u u_u u u u u u u u u u u_u u u u u

一方が本契約の延長(zhǎng)を望む場(chǎng)合、本契約の満了の1ヶ月前に書(shū)面で相手方に通知し、雙方の協(xié)議によって決定する。

協(xié)議の一方が協(xié)議條項(xiàng)を履行していない場(chǎng)合、他方は協(xié)議を終了する権利があります。

　　This Agreement, after its being signed by the parties concerned, shall remain in force for________ days from ________ to _______ If either Party wishes to extend this Agreement, he shall notice, in writing, the other party one month prior to its expiration. The matter shall be decided by the agreement and by consent of the parties hereto. Should either party fail to implement the terms and conditions herein, the other party is entitled to terminate this Agreement.

10.仲裁

アービトレート

協(xié)議を履行する過(guò)程において、紛爭(zhēng)が発生した場(chǎng)合、雙方は友好的に協(xié)議し解決しなければならない。

友好協(xié)議を通じて合意に至らない場(chǎng)合は、中國(guó)に提出します。

　　All disputes arising from the execution of this Agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for arbitration in accordance with its provisional rules of procedure. The decision made by this Commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party ,unless otherwise awarded.

11.その他の條項(xiàng)

Other Terms&Conditions

（1）甲は販売地域の他のバイヤーに本を供給してはいけない。

　　Party A shall no t supply the contracted commodity to any other buyer(s) in the above mentioned territory. Direct enquiries, if any, will be referred to Party B. However, should any other buyers wish to deal with Party A directly, Party A may do so. But party A shall send to Party B a copy of Sales Confirmation and give Party B________% commission on the basis of the net invoice value of the paction(s)concluded.

（2）乙が期限內(nèi)に少なくとも**発注を甲に提供できない場(chǎng)合、甲は本契約の義務(wù)を負(fù)わない。

（3）雙方の政府間の貿(mào)易について、甲は本契約の制約を受けずに、その政府の授権によって関連の直接貿(mào)易を行う権利がある。

乙はこの直接貿(mào)易に干渉してはいけません。甲にいかなる補(bǔ)償や口銭要求を提出する権利もありません。

（4）本契約は契約雙方が締結(jié)した販売確認(rèn)條項(xiàng)の制約を受ける。
