    Formulate Rules And Regulations Of The Company, Matters Needing Attention

    The formulation of rules and regulations should be closely combined with the situation of enterprises and strictly according to law. They should be "lawful, reasonable, comprehensive and specific". Because of the different circumstances of enterprises, only the legal problems that should be paid attention to in formulating rules and regulations should be recommended as follows:

           1.規章制度的內容違法。許多企業制定規章制度時由于不了解或漠視現行的法律法規、政策而致使所制定的規章制度中的某些內容違反法律規定而不具有法律效力,如企業依這些內容管理員工而發生爭議,企業的行為將得不到法律支持。因此,規章制度必須內容合法。

          2.規章制度未經民主程序制定。許多企業制定規章制度都只是由企業的董事會或總經理甚至是某個部門制定后即實施。但法律規定企業的規章制度應經職工(代表)大會通過,否則不發生法律效力。 

           3.規章制度未經公示。許多企業的有些規章制度根本不為員工所知,這就使員工無所遵從,因此法律規定企業規章制度必須要向全體員工公示,否則不對員工產生效力。

          4.規章制度未及時修改、補充。許多企業規章制度制定好以后便完事大吉,但實際情況是現行法律不斷推陳出新,制訂當時屬合法的內容可能現在已不合法。因此企業應當自行或委托有關專家對已有的規章制度進行定期或不定期檢查,及時修改、補充相關內容。
