Basic Supply Contract

Based on Party A (this contract) Purchase Party B intends to purchase Party B from Party B. goods 。 Based on the data submitted by Party A on the basis of the documents submitted by Party B (the supplier of this contract), Party B has supplied the goods to Party A after examination. Qualifications And Party B agrees to provide Party A with the goods conforming to the requirements of Party A. both parties shall sign this contract on the basis of equality and voluntariness on the basis of mutual benefit and common development.
The first basic contract
1.1 contract validity: this contract is a long-term basic contract for both parties regarding the supply business of Party B to Party A. This contract shall continue to be valid from the business relationship between the two parties to the time when both parties hold business. Before the signing of this contract, the relevant contracts and agreements signed by the two parties and other clauses which are inconsistent with or are not covered by this contract shall be governed by this contract.
1.2 the annex of this Contract: the agreement, contract, facsimile, order, chart, letter, etc., which are related to the performance of this contract, are binding on the two parties in the bilateral transactions.
1.3 specific contract: between the two sides can reach a specific contract in accordance with the following second agreed procedures, Party B accepts the order of the party when the specific contract is established. Each specific contract between the two parties is bound by this contract.
Second orders, delivery, packing and transportation
2.1 order: the name, type, quantity, delivery time and trademark of Party B's specific supply are subject to Party A's written order. Party B shall confirm or feedback opinions within twelve hours or within the time limit required by Party A's order. Overdue unconfirmed or no feedback does not accept Party A's order. However, if there is no justification, Party B shall not refuse to accept the order.
2.2 delivery: unless the parties expressly agree to deliver the goods as agreed upon by both parties, Party B shall deliver the goods on time to the location of Party A or the designated place of Party A and bear the freight arising therefrom according to the quantity and time stipulated by Party A's order.
2.3 packing method and packing cost: the packing standard of Party B's supply shall reach the packaging standard agreed by both parties, and the packing cost shall be borne by Party B.
Third acceptance and disposal of unqualified products
3.1 acceptance: when Party B delivers the goods within a reasonable period of time or when Party A receives the goods from Party B, the parties will accept the samples according to the quality standards, drawings and agreed technical requirements confirmed by the parties.
3.2 acceptance is not qualified: Party A shall inform Party B in time when Party B fails to accept the acceptance of the supply. Party B shall return the unqualified products and deliver the same quantity of qualified products to Party A within one day after receipt of the notice or within the time agreed upon by both parties.
Fourth responsibility for quality assurance and quality accidents
4.1 technical requirements: Party B guarantees that the goods supplied to Party A are fully in line with relevant national laws, regulations and environmental protection requirements, and comply with the special technical requirements of Party A (if any), and make use of raw materials with good performance during the validity period. The goods are inspected strictly before leaving factory, and the packing method is good, so that the parts and components caused by general loading and unloading can be avoided.
4.2 quality accident: if Party B is responsible for the quality accident of the goods, Party A shall be punished by the third party or be punished by the state organ. If the two parties or the technical supervision department or other authority authorities affirms the responsibility of Party B, Party B shall bear the whole economic loss caused to Party A.
Fifth pricing and settlement
5.1 Pricing: Party B should offer reasonable quotations based on the principle of good faith and long-term cooperation. If there is any fraud or a serious discrepancy between the quoted price and the reasonable price, the party shall have the right to cancel the qualification of Party B's supply and have the right to terminate the contract.
5.2 minimum guarantee: Party B guarantees that the price of goods supplied to Party A is the lowest price in the domestic market in the same period.
5.3 mode of payment: in principle, Party A shall pay the corresponding amount within 30 of the goods inspection and invoice after the goods are supplied, but if the two parties have agreed otherwise, payment shall be made according to the agreed payment terms between the two parties.
Sixth confidentiality and intellectual property provisions
6.1 confidentiality: one party confidentiality obligations to all technical and operational information provided by the other party, including technical information, samples, drawings and other related supplies (price, quantity, etc.) and quality information.
6.2 the use of Party A's logo: Party A's logo can only be supplied to Party A's contract goods by Party A's authorization. After this contract is terminated, the authorization is automatically invalidated. Party B shall not continue to use it, otherwise, Party B's legal liability shall be investigated.
Seventh breach clause
7.1 rejection of orders and overdue supply: Party B refuses to order a party without reason, and shall pay liquidated damages to Party A in accordance with thirty percent of the amount of goods rejected. If Party B fails to deliver the goods within the required time limit, it will calculate the penalty amount by 4/1000 according to the delayed days multiplied by the partial payment of the overdue part of the goods, overdue for more than three days.
7.2 breach of contract for commercial fraud: when Party B violates 5.1 agreements or other commercial frauds, Party B shall pay liquidated damages to Party A in accordance with twenty percent of the amount involved in the fraud or the higher person in Wu Wanyuan / item / higher. This Agreement does not affect Party B's liability for breach of contract in accordance with other terms and conditions. The term "commercial fraud" in this article means that Party B violates the principle of good faith and provides false information or information to Party A, or conceals the truth of the facts, thereby deceiving the Party A or the end-user, obtaining the commercial interests of illegitimate interests.
7.3 breach of the lowest price guarantee: Party B violates the stipulate in Clause 5.3, Party B shall return the difference of the goods already supplied by Party A.
7.4 breach liability for breach of confidentiality agreement: if a party violates the confidentiality clause, the party shall compensate the party concerned for the loss.
7.5 notice of breach of contract: if Party B sends a notice to Party B after breach of contract, the notice will be deemed to have reached Party B two days later. Party B shall give a written reply to Party A within two days after the arrival of the notice. If Party B fails to make a reply within the time limit, it shall be deemed to be the content referred to in Party A's notification by Party B.
Eighth force majeure
"Force majeure" under this contract refers only to unforeseeable and unavoidable natural disasters which are sufficient to affect the normal performance of obligations under this contract, and other irresistible factors in written confirmation by both parties.
Ninth clean government provisions
Party B shall not bribe and provide a rebate to Party A's personnel in any way before the signing of this contract and the business relationship between the two parties. Once discovered, Party A has the right to deduct the damaged interests in the payment of Party B and impose a penalty of 1 times the corresponding amount.
Tenth contract changes
Matters not covered by this contract shall be settled through negotiation between the two parties. The alteration and amendment of the contract must be changed in writing by mutual consent.
Eleventh dispute resolution
Any dispute arising from the execution of this contract or this contract shall be settled by negotiation between the two parties.
Twelfth terms and conditions of entry into force of the contract
12.1 terms of entry into force: the contract shall become effective after signing and sealing by both parties. If there is no further business between the two parties within 18 months after the completion of the last business transaction, the contract will automatically cease to fail.
12.2 contract number: the original two copies of the contract have the same legal effect, and each party holds one copy.
