The manager revealed that as of the creditors meeting, they received 40 creditors to declare 81 claims, and the total amount was 31 billion yuan.

Due to the cross guarantee between "Zhuang Ji clothing", "Chuang Ji industrial park" and "Chuang Ji Group", most of the creditors have a claim which is declared and confirmed by many debtors.

In order to reflect the overall liabilities of the debtor, they found that after the merger statistics, 40 creditors totaled 19 billion yuan.

The manager pointed out that according to their financial accounts, the four debtors, apart from the related companies that have already started the reorganization process of Zhejiang Zhuang Ji Shipping Co., Ltd. and Wenzhou Far East Shipping Co., Ltd., there are nearly 10 related enterprises such as Wenzhou Zhuang Ji Garments Co., Ltd., Shanghai Bonali dress Limited company, Shanghai AI Bao de dress trade Co., Ltd., Wenzhou Zhuang Ji Klc Holdings Ltd and so on.

According to the industrial and commercial registration information and field visits, the managers believe that the clothing companies of "Zhuang Ji clothing", "Chuang Ji industrial park", "Chuang Ji Group" and "Chuang Ji Group" are highly related companies, and are highly confused in terms of business premises, organization, finance, assets and so on. It is difficult to distinguish between them. Merger reorganization is conducive to maximizing the value of the debtor's core assets and improving the repayment ratio of all creditors.

The meeting revealed that in August 15, 2013, Jining Ruyi Investment Co., Ltd. signed a contract with the group company.

"Agreed to set up Wenzhou Zhuang Ji Garments Co., Ltd., a joint venture company with a registered capital of 1 million yuan from Jining.

The Investment Company Limited invested 510 thousand yuan, and the Group invested 490 thousand yuan, holding 51% and 49% respectively; followed by Jining Ruyi Investment Co., Ltd., the cash increase of the joint venture company was 127 million 800 thousand yuan, and the Group invested about 122 million 800 thousand yuan in its intangible assets such as trademarks, making the joint venture company's registered capital eventually changed to 252 million 600 thousand yuan, and the shareholding structure remained 51% and 49%.

The group has a 49% stake to undertake a joint venture's performance within three years, and a joint venture's equity as a guarantee of performance commitments.

According to the agreement, the joint venture company completed the industrial and commercial registration in August 2013.

"At present, the joint venture is operating normally, and the group owns 49% of the joint venture company. How to maximize the value of these shares is the focus of the reorganization of the group company."
