Regulations on the name of domestic enterprises
I. composition of names
The name generally consists of four parts: administrative division + character + industry characteristics + organization form.
1, the administrative division of the enterprise name is the name or place name of the administrative division at or above the county level.
Two, font size
The name of the enterprise shall be composed of more than 2 Chinese characters, and the administrative division shall not be used as a shop name, except that the names of the administrative divisions at or above the county level have other meanings. The name of the enterprise can be used as the name of the natural person investor.
Three, industry
1, the industry expression in the name of an enterprise should be a language reflecting the nature of the economic activity of an enterprise or the characteristics of its national economy. The content of the terms used in the enterprise name should be consistent with the business scope of the enterprise. The nature of enterprise economic activity belongs to different categories of the national economic industry. It should select the industry of the name of the main economic activity in the category of the national economy.
2, if the name of an enterprise is not used in the expression of the terms of the industry, it should meet the following requirements:
(1) the nature of enterprise's economic activities belongs to more than 5 major sectors of the national economy.
(2) the registered capital (or registered capital) of an enterprise is more than RMB 100 million yuan or the parent company of an enterprise group.
(3) the name of the enterprise name approved or registered with the same industry and commerce administrative organ is not identical.
3, in order to reflect its operating characteristics, enterprises can use the name of the country (region) or the place name of the administrative division at or above the county level after the name of the name. The above place names are not regarded as administrative divisions in the name of enterprises.
4, the name of an enterprise should not or implies a business beyond its business scope.
Four. Organization form
According to the company law of the People's Republic of China, the law of the People's Republic of China on Sino foreign joint ventures, the law of the People's Republic of China on Sino foreign cooperative ventures, and the law of the People's Republic of China on foreign investment, the name of the enterprise is registered as a limited liability company (limited liability company) or a Limited by Share Ltd. The name and form of the enterprise applying for registration according to other laws and regulations shall not be applied as a "limited company" or "Limited by Share Ltd". The non corporate enterprise may apply for the organizational form of the enterprise name with the name of "factory", "store", "department" and "center".
Five. Management level
The administrative departments for Industry and Commerce carry out hierarchical registration and management of enterprise names.
Registration jurisdiction of SAIC:
(1) the words "China", "China", "the whole nation", "state" and "international" are used.
(two) use the words "China", "China", "the whole nation" and "state" in the middle of the name.
(three) excluding administrative divisions.
The Municipal Industrial and commercial bureau registration jurisdiction:
(1) the enterprises approved or established by the Municipal People's government for examination and approval by the government departments;
(two) enterprise group;
(three) enterprises or asset appraisal institutions, capital verification institutions, auditing institutions, pawnbroking institutions, small and medium enterprises credit guarantee institutions, industrial and commercial registration agencies, professional brokerage organizations, private entry and exit intermediary agencies, overseas employment intermediary agencies, talent intermediary agencies and credit reporting agencies specialized in import and export business, labor export business and foreign contracted projects.
(four) Limited by Share Ltd;
(five) wholly state-owned company;
(six) a limited liability company with a registered capital of 30 million yuan or more.
(seven) a sole proprietorship with a capital contribution of RMB 30 million or more;
(eight) foreign invested enterprises.
Jurisdiction of industrial and commercial sub bureaus of districts and counties:
The names of other enterprises, domestic enterprise branches and individual businesses shall be registered, and the sub branches shall be approved according to the Municipal Council's review opinions.
