Article 1. Subject matter of contract

1.1 Party A agrees to purchase with Party B, and Party B agrees to sell the equipment to the company (hereinafter referred to as the contract equipment) for the project.

The contents of the contract equipment provided by Party B shall be shown in Appendix 1 to the contract (in Annex I, which is listed outside the equipment, and please also list the sub item price).

1.2 Party B is responsible for the installation and commissioning of the contract equipment, and Party A shall provide necessary cooperation.

1.3 the parties agree that the terms and conditions of the annex are inalienable parts of the contract. If there is any difference between the annex and the contract body, the main content of the contract shall prevail.

Second prices

2.1 the price of the contract equipment (hereinafter referred to as the total contract price) is: the price list is in the Annex I.

2.2 the total contract price is fixed.

Third terms of payment

The total price of the contract determined in the second contract shall be paid by Party A to Party B as follows:

3.1 advance payment: within 5 working days after the entry into force of this contract, Party A shall pay the sum of the gross price of the contract price of Party B, that is, the amount of% of the gross price of the contract.

Party B also provides the invoice for the same amount of funds from Party A.

3.2 delivery: in the 5 working days after the delivery of the contract equipment, Party A shall pay the total amount of the gross price of the contract price of Party B, that is, the amount of% of the gross price of the contract.

3.3 acceptance: in the 5 working days after the acceptance of the contract equipment, Party A shall pay the sum of the gross price of the contract price of Party B, that is, the amount of% of the gross price of the contract.

Fourth delivery of Contract Equipment

4.1 all contract equipment shall be delivered to the place of delivery within the week after the entry into force of the contract.

The delivery place is airport.

The right and risk of the goods are pferred to the buyer after the seller delivers the goods to the carrier.

4.2 Party B shall notify Party A by telegraph, telex or fax 14 days before the date of delivery, including the contract number, the name and quantity of the contract equipment, the estimated total weight and the total volume, and the estimated delivery date.

Upon receipt of Party B's notice, Party A shall confirm to Party B the date of delivery and the date of delivery as soon as possible.

Inspection of fifth Contract Equipment

5.1 the opening inspection of the contract equipment should be carried out during the day after the delivery of the equipment to the place of delivery.

Both sides shall appoint representatives to take part in the inspection.

5.2 after the equipment is opened and checked, the two sides will sign the inspection certificate.

5.3 if the small defects of the contract equipment approved by both parties do not affect the performance of the equipment, the two parties still sign the inspection certificate, but Party B shall take immediate measures to repair the defects.

5.4 if any defects, defects or discrepancies with the contract are found in the joint open inspection, the representatives of both sides will sign a detailed report, which will serve as an effective evidence for Party A to require Party B to replace, repair or replenish the goods.

If it is confirmed that Party B is responsible, Party B shall obtain additional or replacement equipment at its own expense.

If confirmed as Party A's liability, Party B shall, as soon as it receives the notification from Party A, supplement or replace the equipment to Party A as soon as possible.

Sixth guarantees and

6.1 Party B guarantees that the contract equipment supplied to Party A is completely new and has not been used.

6.2 the free warranty period of the contract equipment provided by Party B is the same as that provided by the original manufacturer. Details are attached to the annex.

6.3 during the warranty period, Party B shall deliver the replacement equipment to Party A at the earliest time after receiving the defective equipment at the designated place (at the expense of the buyer).

6.4 if Party B fails to comply with the requirements of the fourth contract, it shall not be in time.

Party A has the right to claim damages by Party B as follows: 0.5% weeks from the late delivery third (0.5%) of the total value of the goods, less than one week for a week.

The total amount of the above compensation shall not exceed 5% (five percent) of the total contract price.

The above compensation can not relieve Party B's responsibility for delivery.

The payment of compensation will be deemed to have fully compensated Party A's total loss (including the indirect loss that Party A may cause to Party B for late delivery).

6.5 if Party A fails to pay the contract payment on time according to the fourth clause stipulated in the contract.

Party A shall pay the late fee to Party B.

The method of payment of late fees is: from the next day of the prescribed payment day, the amount of the overdue payment shall be calculated according to the amount of the payable unpaid contract at 0.5 per thousand (zero point five) per day, and the total amount of the late fee shall not exceed 5% of the total amount of the contract.

6.6 if it is caused by non Party B

The execution period is postponed accordingly.

Seventh force majeure

7.1 if either of the two parties is compelled to stop or postpone the execution of the contract because of force majeure, such as war, fire, typhoon, flood, earthquake or other parties, which is not a force majeure, the execution of the contract shall be delayed accordingly, and the delay time is equal to the time when the Force Majeure will take effect.
