1. Summary of pactions
According to the spirit and requirements of the Ganzhou Municipal People's Government of Jiangxi Province on the Coordination Committee of Haixin city's retreat into the city, the Ganzhou land purchase and reserve center acquired the right to use the state-owned construction land and the ground appendages at No. 61 health Road, Zhanggong District, Ganzhou.
The storage price is 103 million 379 thousand and 150 yuan.
Gannan Haixin and Ganzhou land purchase and reserve center signed the agreement on the acquisition of the right to use state-owned construction land in April 15, 2019.
In April 12, 2019, at the eighteenth meeting of the ninth board of directors, the company passed the motion on the overall collection and storage of the old factory in Jiangxi Gannan Haixin pharmaceutical Limited by Share Ltd.
The independent director of the company agreed to the bill.
The paction has been approved by the relevant departments of the Ganzhou Municipal People's Government in advance and no longer requires the approval of the relevant government departments.
Gannan Haixin shareholders' meeting is still under consideration.
The paction does not constitute a connected paction and does not constitute a significant asset. The amount involved in the paction does not meet the criteria of the shareholders' meeting and is not required to be submitted to the shareholders' meeting for consideration.

The paction price includes compensation for buildings, structures and other appendages.
The title of the paction is clear in property rights, there is no mortgage, pledge and any other restrictions on the pfer. It does not involve any judicial measures such as litigation, arbitration or sealing up or freezing. There are no other circumstances that impede the pfer of ownership.

3. Acquisition of land compensation and capital payment.

4. Land handover and license pfer

Gannan Haixin retreat city into the park is supported by the Ganzhou municipal government. Gannan Haixin is located in the new industrial area of Ganzhou economic and Technological Development Zone. After the completion of the paction, according to the proportion of the company's holding 60.96% of Gannan Haixin's share, the company will generate about 40 million yuan of investment income in the year of completion of the paction.
