1. appointment:

We hereby appoint ABC trading company as an agent for ship repair and sale in the area.

2. duties of agents:

(1) to inquire the shipowner's enquiry sheet for ship purchase and ship repair and to inform KDSZ.

(2) to report the general situation of the comprehensive market in the region;

(3) assist in arranging the business activities of factory distributors.

(4) regular market survey on behalf of manufacturers;

(5) to assist manufacturers in the recovery of goods (not permitted by law);

(6) to report to KDSZ on the business conditions carried out in the region in an agreed manner.

3. scope:

In order to facilitate the work, the KDSZ should provide the owner's directory of the agent area to the agent. The agent has commented on this directory and made recommendations or amendments for KDSZ to make reference. Because the individual ship's Commission has resulted in disputes between the regions, KDSZ should be the only notary public, and he will give fair and reasonable remuneration in a variety of circumstances.

4. Commission:

KDSZ pays the agents in the area to repair the Commission of the total value of the various ships. The Commission shall be agreed separately on the major contracts, and the balance shall be paid in advance.

When a commission paid to the owner (i.e. the owner of the ship) and the three party referral is required by the KDSZ, the agent must be greeted in advance; at the same time, the KDSZ shall decide whether to pay.

5. cost

Apart from the following, the rest of the charge is made by the agent.

(1) the cost of visiting KDSZ within the time specified by KDSZ;

(2) communication costs under special circumstances (long pmission, various manuals, etc.);

(3) the cost incurred by KDSZ in the sales visit to the region.

6.KDSZ's responsibilities

KDSZ:

(1) provide samples and other sales promotional materials to agents;

(2) provide a list of key customers to the agents to make sure that they have a good idea.

(3) notify agents to directly contact owners in the area.

(4) provide copies of the main documents exchanged by all principal offices to the agents and ask the agents not to disclose business secrets.

7. terms of reference:

In respect of the contract price, time, specifications or other conditions of contract, the agent has no right to interfere in KDSZ, and the right to decide on its business shall be KDSZ.

8. conflict of interest:

It is hereby declared that, during the validity of this agreement, the agent shall not harm the interests of KDSZ as a representative of other shipyard.

The agent agrees to ask for KDSZ's opinion before signing any other agency contract. The agent guarantees that information without prejudice to KDSZ shall not disclose to the third party any information that is harmful to the commercial interests of KDSZ.

9. termination:

No matter where it is, the agreement will be terminated 3 months after written notice. The Commission of the ship to be paid by the agent will still be paid during the performance of the agreement, whether or not these ships are being repaired at the factory during this period.

10. divulge Secrets:

In the execution or execution of the agreement, the agent guarantees that no information will be disclosed to any party by KDSZ without prior consent of KDSZ.

11. Arbitration:

Except for those mentioned in the third article, both parties shall be submitted to the arbitrators appointed by both parties for arbitration because of disputes arising from the agreement or their interpretation or the unsatisfactory settlement of the two parties' efforts. If the arbitrators have different opinions, the chairman of the Maritime Arbitration Commission shall be appointed by the chairman of the Maritime Arbitration Commission for the time being.
