買手は所定の時間內に信用狀を開設していません。売り方は通知を出して本契約をキャンセルし、または買手を受け入れて本契約の未履行の全部または一部に対して、またはそのために被った損失に対して賠償を請求する権利があります。

The Buyer shar establish a Letter of Credit before the above-stipulated time、failing which、the Seller shar have the right to resind this Contract up the arrival of the notice at Buyer

10.品質/數量異議(Quality/Quautity discrepancy)：

買い手がクレームを出す場合、品質異議は目的港に到著した日から30日間以內に提出しなければなりません。所屬數量の異議は目的港に到著した日から15日間以內に提出しなければなりません。積み込まれた貨物に対していかなる異議を申し立てても、保険會社、汽船會社、その他の関連運輸機関または郵送機構の責任者に対しては、売り手は一切の責任を負いません。

　　In case of quality discrepancy， claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination， while for quantity discrepancy， claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company， Shipping Company， other Transportation Organization /or Post Office are liable.

11.人力不可抗力が発生したため、本契約は履行できなくなり、一部または全部の商品は納品遅延になりました。売り手は一切責任を負いません。

本契約で指す不可抗力は介入不可、避けられず、かつ克服できない客観的な狀況を指す。

The Seller share not be held reponsible for failure or delay in delivery of the ntire lot or a portion of the goods under this Sales Contact in consequence of any Force Majece indenture which might occur.Force。

12.仲裁（Abitration）：

本契約による紛爭または本契約に関するいかなる紛爭についても、協議が解決できない場合、中國國際経済貿易仲裁委員會深セン分會に提出しなければならない。

仲裁を申請する時、その時施行された仲裁規則に従って仲裁を行います。

仲裁判斷は最終的なもので、雙方に拘束力がある。

Any dispute arsing from or in connectction with the Sales Conttract sharll be settled throuugh fririeneninininininingotiation.In caseのsettlement can be reached，the dispute shll then be submitted to Internatititinal Econconconconconconconconconmimimimimimimimimimimiconconconconconconconconcontititititititititititititititititition.InInInInInInInInInInInInterterternal Econconconconconconconconconconconconconconconconconconconconconconconconcondededetime of appying for arbitration.The arbitrol award is final and binding uon both parties.
