    Article 1. According to the laws, regulations and relevant regulations of the People's Republic of China concerning the management of land used by foreign invested enterprises, the two sides conclude this contract through friendly negotiation and abide by it.

    Second the state owned land provided by Party A to Party B is located in the area of the square, with an area of square metres.

    The third term of this contract is the year of land use, which is calculated on the date of signing the contract.

    Party A shall handle the land registration (or change registration) procedures for Party B, and issue (Huan Fa) "People's Republic of China state land use certificate".

    The sixth land use fee is RMB yuan per square metre per year (US dollars or HK dollars). From the date of the year of the year, the Party B (or the Chinese partner or partner) should pay the annual land use fee to Party A before the month of the month.

    Five years after the land use fee is charged, Party A shall make a corresponding adjustment according to the relevant regulations of the state. After adjusting, Party B shall pay the land use fee according to the new standard from the year of adjustment.

    If Party B can enjoy preferential policies for reduction or exemption in accordance with relevant regulations, it may draw up this article in accordance with the regulations for reduction and exemption.

    Seventh in addition to the provisions of this contract, Party B shall, within the time limit stipulated in this contract, remit the cost required by the contract to the bank account of Party A.

    The eighth item is for the construction of the project. Party B must use the land according to the planning requirements and the specified purposes.

    During the period of this contract, if Party B really needs to change the land use, it will go through the formalities of changing the land use after the consent of Party A.

    Ninth Party A agrees to undertake the specific business of land acquisition, demolition and boundary location, and deliver the land before the year of the year.

    Party B shall properly protect the boundary piles, and shall not alter them privately. When the boundary piles are damaged or moved, they shall report to Party A in writing in time, and request for re embedment. The cost will be borne by Party B.

    When the tenth term of land use expires or Party B terminates the operation ahead of time, the contract will be terminated at the same time.

    Party B shall return the land use certificate to the Party A and cancel the registration formalities.

    Party B shall have the right to dispose of the buildings and attachments to be invested in the land, but the time shall not exceed that of the land.

    Eleventh, the right to the use of land obtained by Party B in accordance with this contract shall not be pferred, leased or mortgaged.

    In case of pfer, rent or mortgage, the pfer procedures must be made according to the Provisional Regulations on the assignment and pfer of the right to use state-owned land in People's Republic of China.

    Twelfth, if Party B (or Chinese joint venture or collaborator) fails to pay the land use fee on time, the overdue fee shall be charged on a daily basis from the date of overdue payment.

    If the overdue period exceeds 6 months, Party A shall have the right to recover the right to use the land without compensation.

    Article thirteenth if Party A delays the possession of the right to use land due to negligence of Party A, the term of land use under this contract shall be postponed accordingly, and Party B has the right to claim compensation.

    Fourteenth if Party B fails to invest in construction for two years in a row, Party A has the right to recover the right to use the land.

    Fifteenth the settlement, validity, interpretation, performance and dispute settlement of this contract shall be protected and governed by the laws of the People's Republic of China.

    Article sixteenth disputes arising from the execution of this contract shall be resolved through consultation between the two parties concerned.

    If the negotiations fail, they shall be settled according to (): (1) the arbitration organization shall be submitted for arbitration; (2) the action shall be brought to the people's court having jurisdiction.

    The seventeenth contract is effective after signed by the legal representatives of both parties.

    Eighteenth all dates of this contract are Gregorian calendar.

    The nineteenth contract is signed by both parties.

    The twentieth contract is signed in the year of People's Republic of China, China.

    Twenty-first matters not covered by this contract may be annexed to the contract after agreed by both parties.

    The appendix of this contract is an integral part of the contract and has the same legal effect as this contract.
