Beijing Commodity Consignment Contract (Business Super Stock)

In accordance with the provisions of the contract law of the People's Republic of China and other relevant laws and administrative regulations, Party A and Party B shall abide by the principles of equality, voluntariness, fairness and honesty and trust, and conclude this contract through consultation on the issue of commodity purchase and consignment.

This contract can be applied to Party headquarters and its chain stores or affiliated companies established within the administrative divisions of Beijing (a chain store or affiliated company with independent legal person qualification) as the power of signing and performing the contract as an annex to the contract, including:

First, the sale of goods

1, the type, name, brand, specification, factory name and site, grade, quality standard, packaging requirements, unit of measurement and unit price of the goods sold in the consignment shall be shown in Appendix 1 of the contract.

2, Party A shall, when signing the contract, provide proof of its own main qualification, such as business license, tax registration certificate, etc., and submit a license or certification document relating to the production, agency, wholesale, import and special operation of the commodity.

3. The above commodity prices have been confirmed by both parties. If the price of the commodity changes during the contract period due to changes in raw material prices, production and operating costs, and market supply and demand, the price change party shall notify the other party in advance, and the price can be adjusted after the written confirmation of the other party.

Price changes will take effect from the price adjustment date confirmed by both parties, and will apply to new orders after that date.

4. Party B shall submit instructions to Party A or a style instruction to Party A at the same time when signing special conditions for special materials or styles specified in this contract.

5. The outer packaging of the goods provided by Party A shall comply with the relevant laws and regulations of the People's Republic of China. The product names, factory names and site, specifications, grades, product standards, quality inspection certificates, instructions for use, production dates and safe use periods or expiration dates, warning signs and other instructions in Chinese shall be marked in Chinese.

Commodities should be used regular barcode to facilitate POS identification. Barcode free commodities should be specified in Annex I, and Party B shall be required to purchase internal bar code on the outer packaging of goods.

6, Party A shall ensure that the quality of the goods provided is in conformity with the quality standards stipulated in this contract or order. Party A shall provide quality specifications for the goods and shall comply with the quality requirements of the instructions.

If the quality requirements are not clear, they shall be performed according to the national standards and the industry standards. If there are no national standards or industrial standards, they shall be performed according to the usual standards or specific criteria for meeting the purpose of the contract.

Two. Agent

1. All kinds of documents and documents signed by the agent in his business or in the authorized business link shall be valid documents for the two parties to sign and perform the contract.

2, if the parties concerned change or replace the agent, they shall notify the other party in writing ahead of time, and appoint and replace the notice of the agent as annex two to the contract.

2, the order should specify the name of the commodity, the name and location of the plant, the specifications, the unit of measurement, the brand, the quality, the origin, the regular bar code, the quantity, the unit price, the time of delivery, the place of delivery, and so on.

3. If Party A fails to accept the order, it should give a definite reply within the hour of the period of the reply. The reply form is the same as the order form. If the reply is not accepted, it will be regarded as accepting the order.

If the contents of the order are modified in the reply, Party B shall indicate whether or not to accept it within hours of the period. If Party B does not accept it, it shall be deemed to be invalid. If Party B refuses to reply, it shall be deemed to accept the revised order.

4. Order and order reply.

For the pmission of the carrier, it should be sent to the website or e-mail address specified in the contract. If the written document such as fax or order contract is used as the carrier, the official seal or the agent's signature shall be affixed.

Four. Delivery and acceptance

1, Party A should

The commodities listed shall be delivered to the designated place by Party B at the agreed time and mode of pportation.

2, Party B should arrange for the staff to arrange preliminary acceptance of goods, specifications, place of origin, quantity, packing and so on in accordance with the order in time, and issue receipt certificates. If the goods do not meet the requirements of this contract and order, they can refuse to accept them.

If Party B fails to complete the inspection within hours after arrival of the goods, Party A shall issue a receipt for the goods to be examined and accepted by Party A, and inform the concrete time when the inspection is completed.

Five.

1, Party B can make a sales promotion plan according to the business strategy of enterprises, so as to speed up the turnover and sale of goods.

2, Party A can participate in promotional activities selectively according to its own product status, and at the same time pay the cost of promotion services to Party B, or give discount to the commodity price by way of discount.

3, the two sides shall sign the promotion service agreement separately on specific promotion methods, promotion period, service contents provided by Party B, service charges, discount and payment methods of Party A, etc. as annex three to this agreement.
