How To Draw Up The Project Pfer Contract
Transferor (hereinafter referred to as Party A): XX Real Estate Co., Ltd.
The pferee (hereinafter referred to as Party B):
According to the contract law of the People's Republic of China and the relevant laws and regulations, the two parties follow the principles of voluntariness, fairness and honesty and credit. In order to accelerate the further development of a business city, after friendly consultation, agreement on the rights and obligations of Party B to pfer a business city project to Party B is reached, and the following contract is signed as follows:
The first part of the pfer target (a trade city project) overview
1. the project was originally developed by a certain town people's government and a A real estate development company in Hunan province. After consultation by all parties, the project was changed into a B certain real estate limited liability company, which was developed by B certain certain real estate limited liability company.
2. the first phase of the project (except for 17, 18 buildings and only the completion of the pile foundation) has been completed according to the plan. The main works and their ancillary works (except 11 other buildings) have been accepted. The two phase project has also done a lot of preliminary work.
3. the project is legal, authentic and effective, and the documents are basically complete. All the housing and land use permits have been completed, and some of them have been completed.

4. the preferential policies for attracting foreign investment have been basically completed and some of them have been implemented.
5. the property management of the project is the responsibility of Party A.
6. the sale situation of the project, the payment of the house price and the payment of the project are shown in annex two.
7, the overall pfer of the project is also the second pfer of the project. Its content and nature are identical, that is, the rights, obligations and legal responsibilities shall be pferred to Party B by Party A.
The pfer of rights and obligations involved in the second pfer targets
1. the economic settlement relationship between Party A and B's real estate development company in the process of contract construction and project pfer is still responsible for Party A (now cleared).
2. Party A shall be responsible for the debts and debts (including natural debts) arising from the implementation of the project in the construction of a certain trade city (see Annex three).
3. the rights and obligations of the relative party of Party A and the buyer and lessee of the house shall be pferred to Party B, and the creditor's rights and obligations that have not yet been fulfilled shall continue to be performed by Party B, and Party A will no longer perform the obligations, and the housing license and related procedures shall continue to be processed by Party B after the pfer of the target.
4. the ownership and the right to the use of land under the assignment subject to Party A shall be pferred to Party B together. The relevant pfer procedures shall be handled by Party B, and Party A shall assist.
5. the property rights and obligations of the pfer project shall be pferred to Party B.
The third way of pfer, the price of pfer, the time and method of payment.
1. Party A pfers the subject matter of the contract stipulated in the first part of the contract to RMB B (hereinafter referred to as the pfer price).

2. payment method of pfer price
Party B shall, within five days after the signing of this contract, remit the first part of the pfer price to RMB a designated account, and the remaining price will be paid in RMB before the date of the year.
Fourth ways to guarantee the balance
Party B shall provide guarantee for the balance in the balance and sign another guarantee contract.
Fifth delivery items of the pfer target
1. within ten days from the entry into force of this contract, Party A shall pfer the relevant certificates of the pferor's rights.
The list of technical data, contract documents and appendix to the contract shall be pferred to Party B for verification, signature, and seal.
2, Party A shall assist Party B in handling the pfer of relevant documents and the change of contract subjects.
Transfer of the subject matter is pferred to Party B after completion of the pfer and change of principal procedure.
3. The pfer and subject change procedures under this contract relate to the relevant taxes and fees borne by Party B.
Sixth notification obligations
Party B shall notify the relative party (including, but not limited to, the purchaser, the constructor, etc.) of the rights and obligations relationship of the certain trade city after the commencement of this contract, and shall be confirmed by the relative party of the contract.
Seventh parties' liability for breach of contract
1. after the contract comes into force, any Party A and B shall terminate the contract without any reason, and shall pay the other party a one-off breach of contract, Jin Wanyuan.
2. Party B fails to pay the pfer price within ten days according to the contract, and shall pay according to the delay.
Transfer price
5/10000 of the daily payment of liquidated damages to Party A, and if the payment is delayed for more than ten days, Party A shall have the right to terminate the contract and require Party B to pay to Party A on the basis of ten percent of the total amount of the pfer price.
Penalty for breach of contract

Modification, rescission and supplement of eighth contracts
1. the parties concerned may change or terminate the contract by consensus.
2. the two parties may amend or supplement this contract, and the supplementary agreement thus formed has the same legal effect as this contract.
Ninth dispute resolution
Disputes arising from this contract shall be settled through consultation between the two parties.
If negotiations fail, the parties agree to be under the jurisdiction of the people's court where the contract is signed.
